Specified Dispute definition

Specified Dispute means a Dispute required to be finally resolved by expert determination and specified as such in the Articles of Agreement;
Specified Dispute has the meaning set forth in the Dispute Resolution Procedure;
Specified Dispute means any dispute based primarily on the interpretation or construal of the Delaware General Corporation Law.

Examples of Specified Dispute in a sentence

  • If more than one Person is named in both lists, the Person with the highest total numerical ranking, determined by adding the rankings from both lists, shall be the Independent Expert to determine the Specified Dispute.

  • If one Person only is named in both lists, that Person shall be the Independent Expert to determine the Specified Dispute.

  • The Independent Expert shall review and analyze, as necessary, the materials provided to it by the Parties pursuant to Section 6.5. The Independent Expert shall make its determination pursuant to the Terms of Reference based upon the materials provided by the Parties and in accordance with the Article, Section or Schedule of the Agreement under which the Specified Dispute to be determined arose (the “Dispute Context”).

  • Where permitted or required by the Agreement, a Party (the “Referring Party”) may by Notice to the other Party (the “Responding Party”) require referral of a Specified Dispute to an Independent Expert for determination pursuant to this Section 6 (the “Referral Notice”).

  • The Independent Expert shall complete its assessment and deliver a written decision of its determination of the Specified Dispute within 40 Business Days after the Independent Expert’s receipt of the Responses.

Specified Dispute has the meaning set forth in Section 5.06.
Specified Dispute means (i) any dispute relating to indemnification for Losses resulting from Navient Liabilities described in Section 2.3(a)(ii)(A), Section 2.3(a)(ii)(B), Section 2.3(a)(ix), Section 2.3(a)(x) or Section 2.3(a)((xi), (ii) any dispute relating to indemnification for Losses resulting from SLM BankCo Liabilities described in Section 2.3(b)(i) or Section 2.3(b)(vi), (iii) any indemnification claims made under Section 4.2(c), Section 4.2(e), or Section 4.3(b), (iv) any Dispute with respect to whether a Third Party Claim is a Navient Liability or an SLM BankCo Liability, (v) any dispute relating to a breach by the other Party of the provisions of Section 5.4 or Section 6.9 and (vi) any Dispute arising from a breach of the Data Sharing Agreement, the Key Systems Agreement or Sections 13 or 14 of the Joint Marketing Agreement or the confidentiality or data privacy provisions of any other Ancillary Agreement.
Specified Dispute has the meaning set forth in the Dispute Resolution Procedure; “Supporting Material” has the meaning set forth in Section 5.8(a);
Specified Dispute means the disputed liability of the Company pursuant to a maintenance agreement with a specified service provider, as discussed in Schedule 4.10(d).
