Specified Circumstance definition

Specified Circumstance means any situation where, in relation to any person, the Taxation Officer, in his best judgement objectively exercised, considers that:
Specified Circumstance shall be deemed to exist if: (a) any of the conditions set forth in Section 6.8 or Section 7.8 of the Agreement is not satisfied and has not been waived; or (b) as a result of a challenge, suit, action or legal proceeding brought by a Specified Governmental Body under any applicable antitrust or competition Legal Requirement or by any Requesting Authority, any of the conditions set forth in Section 6.9, Section 6.10 or Section 7.9 of the Agreement is not satisfied and has not been waived.
Specified Circumstance means a circumstance, specified by the Minister under subsection (10)(a), in which a prescribed party is required under subsection (1) to attend a specified activity.”.

  • A "Company Specified Circumstance" shall be deemed to exist if: (a) the condition set forth in Section 7.10 of the Agreement is not satisfied and has not been waived; or (b) as a result of a challenge by a Governmental Body under any Antitrust Law, the condition set forth in Section 7.11 of the Agreement is not satisfied and has not been waived.


More Definitions of Specified Circumstance

Specified Circumstance shall be deemed to exist if (A) the condition set forth in Section 10.6(a) is not satisfied and Buyer has not fully complied with its obligations under Section 8.1 or (B) the condition set forth in Section 10.6(b) is not satisfied and has not been validly waived.
Specified Circumstance means if: (i) any of the conditions set forth in Section 6.1(a) is not satisfied and has not been waived by each Party or (ii) as a result of a challenge by a Governmental Entity under any Antitrust Law, any of the conditions set forth in Section 6.1(b) is not satisfied and has not been waived by each Party.

Specified Circumstance shall be deemed to exist if: (a) the condition set forth in Section 10.01(b) is not satisfied and has not been waived; (b) as a result of a challenge by a Governmental Authority under any applicable antitrust, competition, foreign investment or similar law, any of the conditions set forth in Section 10.01(a) is not satisfied and has not been waived; or (c) the CP Satisfaction Date has occurred and the conditions set forth in Article 10 have continued to be satisfied or waived since the CP Satisfaction Date (other than conditions that by their terms are to be satisfied at the Closing) but the Closing has not occurred pursuant to the timeframes set forth in Section 2.03(a).
Specified Circumstance shall be deemed to exist if: (i) the condition set forth in Section 6.1(c) with respect to the approval, consent or authorization of any Governmental Authority identified in clause (i) or (ii) of the definition ofSpecified Governmental Authority” is not satisfied and has not, to the extent permitted by Law, been waived; or (ii) as a result of a challenge by a Governmental Authority identified in clause (i) or (ii) of the definition of “Specified Governmental Authority”, the condition set forth in Section 6.1(b) with respect to the absence of a Prohibitive Order issued or enacted by any Governmental Authority identified in clause (i) or (ii) of the definition of “Specified Governmental Authority” is not satisfied and has not, to the extent permitted by Law, been waived.
Specified Circumstance shall be deemed to exist if: (a) the condition set forth in Section 6.1(c) is not satisfied and has not been validly waived; or (b) as a result of a challenge by a Governmental Entity for any reason under any Antitrust Law in any Specified Jurisdiction, any of the conditions set forth in Section 6.1(b), Section 6.3(c) or Section 6.3(d) is not satisfied and has not been validly waived.
Specified Circumstance shall be deemed to exist if any of the conditions set forth in Sections 6.5 or 7.5 is not satisfied and has not been waived.
