Examples of Specific Indemnity in a sentence
The provider will arrange, in their name, adequate insurance to cover Employers Liability (minimum £10 million), Public Liability (minimum £5 million) and Specific Indemnity, where required.
In respect of each Disclosure made under the Updated Disclosure Letter which is not a Disclosure under the Disclosure Letter, it is agreed that the Issuer shall indemnify, defend and hold harmless the Subscriber Indemnified Parties from any and all Losses incurred or suffered by the Subscriber Indemnified Parties, arising out of or from such Disclosures in accordance with Clause 8 (Indemnities), notwithstanding that such fact or matter is Disclosed (“Issuer Deemed Specific Indemnity Matters”).
For the avoidance of doubt, all such deemed disclosures shall only be considered to be Disclosed against all such relevant Target Business Warranties and not against any Specific Indemnity Matter, Seller Deemed Specific Indemnity Matter and/or a Seller Fundamental Warranty.
Specific Indemnity: If awarded the contract, evidence of a specific indemnity to Irish Water will be required in respect of this contract for all of the required insurances excluding professional indemnity.
The limitations of liability of the Sellers as set out in Clause 12 (Liability of the Sellers) shall not apply to the liability of the Sellers for the REMU Indemnity set out in this Clause 11 (Specific Indemnity), with the exception of Clauses 12.2 (Individual or several liability) and 13.5 (Net financial benefit).
