Specific Indemnity definition

Specific Indemnity means any of such events as provided under Schedule VI hereto; “Subscription Amount” shall have the meaning ascribed to the term in Clause 2.1; “Subscription Shares” have the meaning ascribed to the term in Clause 2.1;
Specific Indemnity shall have the meaning ascribed to such term in Section 8.02(a)(vi).
Specific Indemnity means the indemnity given in clause 9.2 (Specific Indemnity);

Examples of Specific Indemnity in a sentence

  • The provider will arrange, in their name, adequate insurance to cover Employers Liability (minimum £10 million), Public Liability (minimum £5 million) and Specific Indemnity, where required.

  • In respect of each Disclosure made under the Updated Disclosure Letter which is not a Disclosure under the Disclosure Letter, it is agreed that the Issuer shall indemnify, defend and hold harmless the Subscriber Indemnified Parties from any and all Losses incurred or suffered by the Subscriber Indemnified Parties, arising out of or from such Disclosures in accordance with Clause 8 (Indemnities), notwithstanding that such fact or matter is Disclosed (“Issuer Deemed Specific Indemnity Matters”).

More Definitions of Specific Indemnity

Specific Indemnity means indemnity provided by the Company to Sabre in respect of any of such events as provided under Schedule 6 hereto;

Specific Indemnity has the meaning set out in Clause 9.1;
