Special Sale definition

Special Sale means: (i) the sale of Class A Shares as compensation for services by Inland Real Estate Investment Corporation or any of its directors, officers, employees or affiliates and certain other related parties; (ii) the purchase of Class A Shares by each of the Dealer Manager or any of its or the Company’s directors, officers, employees or affiliates or the directors, officers and employees of its affiliates, or any family members of those individuals (including spouses, parents, grandparents, children and siblings), for $22.81 per share; (iii) the purchase of common stock under the DRP; and (iv) the Class A Shares issued pursuant to the Company’s employee and director incentive restricted share plan.
Special Sale means: (i) the sale of Shares to each Soliciting Dealer and to any of their respective directors, officers, employees or affiliates who request and are entitled to purchase Shares net of Selling Commissions for $9.30 per Share; (ii) Shares credited to an investor as a result of a volume discount; (iii) the sale of Shares to certain investors whose contracts for investment advisory and related brokerage services include a fixed or “wrap” fee feature. The Company shall not pay the Marketing Contribution in respect of Special Sales, except for Shares credited to an investor as a result of a volume discount.
Special Sale means: (i) the purchase of Class A Shares by each Soliciting Dealer and any of their respective directors, officers, employees or affiliates who request and are entitled to purchase Class A Shares net of selling commissions for $23.25 per share; (ii) the sale of Class A Shares through certain registered investment advisors that are affiliated with the Soliciting Dealer; (iii) the sale of Class A Shares to investors whose contracts for investment advisory and related brokerage services include a fixed or “wrap” fee feature; and (iv) the Class A Shares credited to an investor as a result of a volume discount. In each of the four types of Special Sales specified above, the Dealer Manager may reallow one and one-half percent (1.5%) of the Dealer Manager Fee to the Soliciting Dealer. Neither the Dealer Manager nor its affiliates will compensate any person engaged as an investment advisor by a potential investor as an inducement for such investment advisor to advise favorably for an investment in us. However, in the case of special sales of Class A Shares to investors through certain registered investment advisors that are affiliated with Soliciting Dealer or for investors whose contracts for investment advisory and related brokerage services include a fixed or “wrap” fee feature, the Dealer Manager Fee will only be reallowed by the Dealer Manager in cases where the registered investment adviser is affiliated with the Soliciting Dealer, and the Dealer Manager may then reallow 1.5% of the price per Share, out of the Dealer Manager Fee, to the Soliciting Dealer entity with which the registered investment adviser is affiliated. In the case of Special Sales of Class A Shares to investors through certain registered investment advisors that are not affiliated with a participating Soliciting Dealer and whose contracts for investment advisory and related brokerage services include a fixed or “wrap” fee feature, the Dealer Manager Fee will be paid by the Company to the Dealer Manager.

More Definitions of Special Sale

Special Sale means: (i) the initial sale of shares to each Soliciting Dealer and to any of their respective directors, officers, employees or affiliates who request and are entitled to purchase Shares net of selling commissions; provided that the discount on any subsequent sales of Shares to the foregoing entities or individuals may not exceed five percent (5.0%); (ii) Shares credited to an investor as a result of a volume discount; (iii) the sale of Shares to certain investors whose contracts for investment advisory and related brokerage services include a fixed or “wrap” fee feature. The Company shall, however, pay the marketing contribution and due diligence expense allowance in respect ofSpecial Sales.” You acknowledge and agree that all sales of Shares pursuant to this Section 3(f) shall comply, and be made in accordance, with the rules of the NASD, specifically including, but not in any way limited to, Rule 2790 therein.
Special Sale means any sale or intended sale described by the use of any of the following words or expressions, or any enlargement, contraction or combination thereof: bankrupt; moving out; fire; insolvent, selling out; smoke; trustee; lease expiring; water damage; receiver; closing out; creditor; liquidation; discontinuing; forced; or any other similar word or words that represent, hold out or advertise that any goods, wares or merchandise are to be disposed of in a manner that is not in the ordinary course of retail business;

Notwithstanding the foregoing, no commission shall be payable on any subscription rejected by the Company. Accordingly, the authority to issue a confirmation (pursuant to Exchange Act Rule 10b-10) resides solely in us, in our capacity as the Dealer Manager and processing broker-dealer.

Neither the Dealer Manager nor its affiliates will compensate any person engaged as an investment advisor by a potential investor as an inducement for such investment advisor to advise favorably for an investment in the Company. Any amounts payable to you under this Section 4(g) will be considered a “Marketing Contribution.”
