Special Period definition

Special Period shall have the meaning set forth in Section 23(c) hereof.
Special Period means the period commencing on and including the Effective Date to the earliest to occur of (i) August 31, 2021, or such later date to which the School Board, Corporation and Lender may agree in writing (with written notice to the Trustee), (ii) a Conversion Date, and (iii) the date on which the Series 2015C Certificates are paid in full. “Unremarketed Certificates” means Series 2015C Certificates with respect to which the Initial Purchaser has not received payment of the Special Mandatory Purchase Price on the Special Mandatory Purchase Date.
Special Period means the period beginning as of 4:00 p.m., New York City time, on March 22, 2013 and ending at the earliest of (i) the Close of Business on Xxxxx 00, 0000, (xx) the Close of Business on the date of a determination by the Board of Directors of the Company that this Agreement is no longer necessary for the preservation of Tax Benefits because of the repeal of Section 382 or any successor statute, (iii) the Close of Business on the first day of a taxable year of the Company to which the Board of Directors of the Company determines that no Tax Benefits may be carried forward, and (iv) the Close of Business on such date as the Board of Directors of the Company determines that this Agreement is no longer necessary for the preservation of Tax Benefits.”

More Definitions of Special Period

Special Period means the period of time during the Revolving Period (and so long as no Potential Event of Default or Event of Default is continuing) when the Revolving Note Balance equals zero.
