Special Investment definition

Special Investment any Investment by the Parent Borrower or any Restricted Subsidiary in Holdings or any Parent Entity and any cancellation, forgiveness, assignment, transfer, dividend, distribution, or other retirement of such Investment.
Special Investment means, without duplication, each of the following: (a) Investments in Restricted Persons (excluding Investments to the extent made by the Borrower using Equity Consideration and including any Debt Consideration in respect thereof) and, (b) Investments consisting of the assumption or incurrence of Indebtedness by the Borrower, or any Subsidiary which is not Restricted Person, permitted under Section 7.5(h).
Special Investment shall have the meaning given to such term in the Articles of Association of the Company.

More Definitions of Special Investment

Special Investment means the making of loans or advances to, or the acquisition of voting stock or other equity interests (in the case of Persons other than corporations) in, any U.S. or foreign corporation, association, partnership, limited liability company, limited liability partnership, joint venture or other business entity by the Borrower, or one or more of the Subsidiaries of the Borrower, or any combination thereof, which is designated as a "Special Investment" by the Borrower in a notice to the Administrative Agent and the Lenders before being made.

The designations are effective for a sponsor whose fee agreement is signed in the calendar year following the county designation. For all purposes of this chapter, the minimum investment may include amounts expended by a sponsor or sponsor affiliate as a nonresponsible party in a voluntary cleanup contract on the property pursuant to Article 7, Chapter 56, Title 44, the Brownfields Voluntary Cleanup Program, if the Department of Health and Environmental Control certifies completion of the cleanup.   • Alternative Investment Vehicle means an entity created in accordance with the Operative Documents of a Borrower to make investments and that has the right to call on Capital Commitments directly from Investors.
