Without the prior written consent of Sponsor, during the Interim Period, SPAC shall (a) comply with the Trust Agreement and the Underwriting Agreement, dated as of December 8, 2021, by and between SPAC and Nomura Securities International, Inc., as representative of the IPO underwriters, and (b) enforce the terms of the letter agreement, dated as of December 8, 2021, by and among SPAC, Sponsor and each of the officers and directors of SPAC named therein.
