SPA Warrants definition

SPA Warrants means all Warrants (as defined in the Purchase Agreement) issued pursuant to the Purchase Agreement.

SPA Warrants means a warrant to purchase Common Stock of the Company issued pursuant to the Purchase Agreement.

• In the event that a holder shall sell or otherwise transfer any of such holder’s SPA Warrants, each transferee shall be allocated a pro rata portion of such holder’s Authorized Share Allocation.

• Any shares of Common Stock reserved and allocated to any Person which ceases to hold any SPA Warrants shall be allocated to the remaining holders of SPA Warrants, pro rata based on the number of shares of Common Stock issuable upon exercise of the SPA Warrants then held by such holders (without regard to any limitations on exercise).

• In the event that any Buyer shall sell or otherwise transfer any of such Buyer’s SPA Warrants, the transferee shall be allocated a pro rata portion of such Buyer’s Exchange Cap Allocation with respect to such portion of such SPA Warrants so transferred, and the restrictions of the prior sentence shall apply to such transferee with respect to the portion of the Exchange Cap Allocation so allocated to such transferee.

• No such amendment shall be effective to the extent that it applies to less than all of the holders of the SPA Warrants then outstanding.
