Southern Entities definition

Southern Entities mean the PBM Entity, Genplus Managed Care, Inc., E.T.B., Inc., Eckerd Corporation of Florida, Inc., JEC Facilities Funding II, Inc. and JEC Funding, Inc. and “Southern Entity” means each and any of the foregoing entities.
Southern Entities means collectively, Southern, Mirant, Mirant Services, SCS or any other Southern affiliate.
Southern Entities means those companies so designated and listed in Exhibit I, attached hereto;

Examples of Southern Entities in a sentence

  • The Parent and its affiliates shall be liable for the payment of all Taxes of the Southern Entities which are attributable to any Pre-Closing Tax Period, whether shown on any original Tax Return or amended Tax Return for the period referred to therein.

  • Registrants may express publicly a professional opinion on technical subjects only when that opinion is founded upon adequate knowledge of the facts and competence in the subject matter.

  • HealthWatch England is the umbrella body that provides national guidance to local HealthWatches.

  • Each of the Parent, the Sellers and each of the Southern Entities is duly organized, validly existing and in good standing as a corporation under the laws of the jurisdiction in which it is incorporated and has the requisite corporate power and authority to carry on its business as now being conducted.

  • Effective as of the Closing, any Tax sharing or Tax allocation agreement or arrangement between the Parent or any of its Subsidiaries (other than the Southern Entities) and any of the Southern Entities shall be terminated and shall have no further effect thereafter.

  • Prior to the Closing, the Parent and the Sellers shall, and shall cause their affiliates to, eliminate all intercompany obligations of the Southern Entities other than trade payables and trade receivables.

  • From time to time after the Closing, without additional consideration, each of the Parent, the Sellers, CVS and the Purchaser will execute and deliver such further instruments and take such other action as may be necessary, or as may be reasonably requested by the other party, to make effective the transactions contemplated by this Agreement including to give the Purchaser the title or benefit of the Purchased Assets or assets of the Southern Entities as contemplated hereunder.

  • All refunds or credits of Taxes attributable to any Post-Closing Tax Period received by the Purchaser or the Southern Entities shall be for the benefit of the Purchaser.

  • The Parent, the Sellers and the Southern Entities have maintained adequate business records including, without limitation, prescription records, with respect to the operation of the Southern Business, and to the knowledge of the Parent, there are no material deficiencies in such business records.

  • To the extent such documentation is not in the possession of the Purchaser or its affiliates, the Purchaser shall use reasonable efforts to assist the Parent in obtaining any further information that may be required for the Parent to properly report the operations of the Purchased Assets and the Southern Entities in its Tax Returns.

Related to Southern Entities

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants. PJM Interchange:

  • Company Group means the Company and its Subsidiaries.

  • Company Group Member means Company or any Company Affiliate;

  • Partnership Group Member means any member of the Partnership Group.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Partnership Group means the Partnership and its Subsidiaries treated as a single consolidated entity.

  • Released Entities means released entities as such term is defined

  • Operating Companies means, collectively, the Creekside Operating Company, the Mentone Operating Company and the Yucaipa Operating Company. “Operating Company” means any of the Operating Companies.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Acquired Entities means the Company and the Acquired Subsidiaries.

  • Generating Company means any company or body corporate or association or body of individuals, whether incorporated or not, or artificial juridical person, which owns or operates or maintains a generating station;

  • Veteran-owned business means a business that is at least 51% owned by a veteran or veterans who are U.S. citizens and who control and operate the business

  • Women-owned business means a business that is at least 51 percent owned by one or more women who are U.S. citizens or legal resident aliens, or in the case of a corporation, partnership, or limited liability company or other entity, at least 51 percent of the equity ownership interest is owned by one or more women who are U.S. citizens or legal resident aliens, and both the management and daily business operations are controlled by one or more women.

  • Woman owned business means a woman owned business that is a continuing, independent, for profit business which performs a commercially useful function, and is at least fifty-one percent (51%) owned and controlled by one or more women; or, in the case of any publicly owned business, at least fifty-one percent (51%) of the stock of which is owned and controlled by one (1) or more women and whose management and daily business operations are under the control of one (1) or more women.

  • Operating Company has the meaning set forth in the preamble.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Retained Business means any business now, previously or hereafter conducted by Seller or any of its Subsidiaries or Affiliates other than the Business.

  • Related Companies means the companies within the meaning of Article L. 225-197-2 of the French Commercial Code or any provision substituted for same.

  • Transferred Business has the meaning ascribed to such term in the Separation Agreement.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Company Entities means the Company and its Subsidiaries.

  • Holding Entities means the subsidiaries of the Infrastructure Partnership, from time to time, through which it indirectly holds all of the Partnership’s interests in the operating entities.

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.
