Source Code Escrow definition

Source Code Escrow means the escrow established with the Source Code Escrow Agent under the terms of the Source Code Escrow Agreement under which Source Code shall be confidentially deposited by a Source Code Owner for safekeeping and, upon the satisfaction of certain conditions, release to the Company.
Source Code Escrow. The parties shall establish an escrow of the source code to the Licensed Materials and any other software required for Be Free to perform its obligations under this Agreement ("Source Code"), by entering into an escrow agreement with Data Securities International, Inc. ("DSI") and depositing the Source Code with DSI. Notwithstanding any other term of the escrow agreement: (a) Be Free shall be obligated to promptly deposit into escrow any update of the Source Code and (b) the deposited Source Code shall be released to GeoCities only if Be Free files for or becomes subject to a proceeding under Chapter 7 of the United States Bankruptcy Code."
Source Code Escrow means the deposit by Extricity of the Source Code of the Extricity Products (including such development documentation such as functional and design specifications and systems manuals as all of the above may exist) in an escrow account set up through a third party escrow agent in the normal course of their business.

Source Code Escrow means an escrow established with an escrow company established and in the business of maintaining software source code escrows, for deposit of Project Software Source Code pursuant to Section 14.4.4(a) of the Contract. Source Code Escrow means a three-party agreement (‘Escrow Agreement’) according to which the Licensor provides the Source Code to a third party`s (`Escrow Agent`) escrow and allows the Escrow Agent to provide access to the Source Code under conditions defined in the Escrow Agreement. Provided that the Source Code was released to the Licensee under the Escrow Agreement, the Licensor shall provide the Licensee with access to the Source Code by granting the Source Code Licence, as specified in Section 7 of this Agreement.
