  • Such payment shall constitute liquidated damages and not a penalty, and shall not bar or impair Solicited Party’s right to obtain equitable relief from future violations by Soliciting Party.

  • Soliciting Shareholder means, with respect to any Special Meeting demanded by a shareholder or shareholders, any of the following Persons:

  • soliciting dealer means a person whose interest in a distribution of rights is limited to soliciting the exercise of the rights by holders of those rights;
