- SOFTWARE TRANSFER. [You may permanently transfer your right under this Agreement, provided you retain no copies, you transfer all of the Software (including all components, the media, all printed materials, any upgrades, this Agreement and the recipient reads and agrees to the terms of this Agreement. Any other transfer, assignment or delegation by you of the Software or this agreement shall be void. If the Software is an upgrade, any transfer must include all prior versions of the Software.] - EXPORT: You may not export the Software without prior written approval from TAIS. If the Software was purchased in the United States of America, you agree to comply with all applicable United States laws and regulations pertaining to export controls. If the Software was purchased outside the U.S., you may not re-export the Software except as permitted by, the laws of the United States and the laws of the jurisdiction in which you purchased the software. - TERMINATION: Without prejudice to any other rights, TAIS may terminate this Agreement if you fail to comply with all of the terms and conditions set forth in this Agreement. In such event, you must return all copies of the Software and all of its components and documentation to TAIS or certify that you have destroyed all such copies.

  • Software Product means any COTS which you propose to provide pursuant to the contract.

  • Software Products and “Software” are interchangeable and mean software, computer source codes and other computer programs.

  • Software Error means a reproducible defect or combination thereof in the Software that results in a failure of the Software when used in accordance with the Documentation. Software Errors do not include those errors caused by (a) Licensee’s negligence, (b) any unauthorized modification or alteration Licensee makes to the Software, (c) data that does not conform to Licensor’s specified data format, (d) operator error, or (e) use not conforming to the Licensor’s supported technical environment specified in the Documentation.

  • Oracle Software means any software agent, application or tool that Oracle makes available to You for download specifically for purposes of facilitating Your access to, operation of, and/or use with, the Services.

  • Commercial Software means Software developed or regularly used that: (i) has been sold, leased, or licensed to the general public; (ii) has been offered for sale, lease, or license to the general public; (iii) has not been offered, sold, leased, or licensed to the public but will be available for commercial sale, lease, or license in time to satisfy the delivery requirements of this Contract; or (iv) satisfies a criterion expressed in (i), (ii), or (iii) above and would require only minor modifications to meet the requirements of this Contract.

  • Public Software means any Software that contains, or is derived in any manner (in whole or in part) from, any software that is distributed as free software, open source software (e.g., Linux) or similar licensing or distribution models, including, without limitation, software licensed or distributed under any of the following licenses or distribution models, or licenses or distribution models similar to any of the following: (A) GNU’s General Public License (GPL) or Lesser/Library GPL (LGPL), (B) the Artistic License (e.g., PERL), (C) the Mozilla Public License, (D) the Netscape Public License, (E) the Sun Community Source License (SCSL), (F) the Sun Industry Standards License (SISL), (G) the BSD License, and (H) the Apache License.

  • Third Party Software means software which is proprietary to any third party which is or will be used by the Contractor for the purposes of providing the Services including the software and which is specified as such in Schedule 6 (Third Party Software) to this Contract.

  • SDK means the JetBrains Rider Software Development Kit and specifically including any associated JetBrains Rider software files, documentation, software code or other materials made available by JetBrains and any third-party software programs that are owned and licensed by parties other than JetBrains and that are either integrated with or made part of the SDK (collectively, “Third-Party Software”).

  • Software Updates means the Software releases, service packs, build updates or emergency fixes released from time to time in accordance with the Vocera’s update policy for such Software.

  • Software License Agreement means the Motorola Software License Agreement (Exhibit A).

  • Server Software means software that provides services or functionality on a computer acting as a server.

  • Customer Software means software which is owned by or licensed to the Customer;

  • Contractor Software means software which is proprietary to the Contractor, including software which is or will be used by the Contractor for the purposes of providing the Services and which is specified as such in Schedule 6 (Third Party Software) to this Contract.

  • Software Upgrade means a release of Software, in object code form, or firmware, which adds new functionality and feature enhancements to the Software or Equipment.

  • Business Software means with respect to a Licensor, all Software to the extent Controlled by such Licensor or any of its Affiliates as of the Effective Date, which Software is reasonably required as of the Effective Date for the conduct of (i) the Agriculture Business if the Licensee is AgCo, including as listed on section (i) of Schedule Q, or (ii) the Materials Science Business if the Licensee is MatCo, including as listed on section (ii) of Schedule Q, in each case (in respect of the foregoing (i) and (ii)), only if and to the extent such Licensee and its Affiliates have not been granted a license or other rights to use such Software under the Separation Agreement or any other Ancillary Agreement. Notwithstanding the foregoing, Business Software expressly excludes any and all Excluded IP.

  • Proprietary Software means computer software developed for and owned by the Failed Bank for its own purpose and use.

  • Software means any computer software programs, including all source code, object code, and documentation related thereto and all software modules, tools and databases.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Specially Written Software means any software created by the Contractor (or by a third party on behalf of the Contractor) specifically for the purposes of this Contract.
