Software Modules definition

Software Modules means the individual modules of the Solution.
Software Modules means those modules of software (computer programming, including object code, source code and programming source materials) and firmware, which may be part of the AL2 Software, the Danavox Software, the ReSound Software, or the Development Technology, or any combination of the foregoing, that are directed to functionality of the particular hearing aid instrument that is additional to that provided by the Core Software when the module is, or the modules are, actually loaded into such instrument.
Software Modules means the software modules associated with the MazorX System as used for spinal applications and shall include all improvements, updates, upgrades and enhancements thereto, and future generations thereof.

Examples of Software Modules in a sentence

  • Should any of the Software Modules become, or be likely to become in MEGANEXUS’s opinion, the subject of an infringement claim, MEGANEXUS may at its option (a) replace or modify the Software Modules to make them non-infringing or (b) procure for Licensee the right to continue to exercise its rights under this Agreement with respect to the Software Modules.

  • Licensee shall inform all relevant employees, agents and sub- contractors that the Software Modules constitute confidential information of MEGANEXUS and that all intellectual property rights therein are the property of MEGANEXUS and Licensee shall take all such steps as shall be necessary to ensure compliance by its employees, agents and sub-contractors with the provisions of this Clause 3.

  • Except as expressly stated in this Clause 6, MEGANEXUS makes no warranty of any kind in respect of the Software Modules and all other conditions, warranties or other statements whatsoever whether express or implied, by statute at common law or otherwise howsoever, and whether written or oral are hereby excluded.

  • If MEGANEXUS confirms a defect in the Software Modules, reported by Licensee within the Warranty Period, MEGANEXUS shall use reasonable efforts to remedy the defect by correction of the Software Modules.

  • MEGANEXUS warrants that the Software Modules shall from the Commencement Date (“the Warranty Period”), be free of material defect and perform substantially in accordance with the Documentation.

  • All Intellectual Property Rights and other rights in the Software Modules and the Documentation are and shall remain the property of MEGANEXUS, and Licensee will only have those rights specifically granted under this Agreement.

  • The Maintenance and Support Services apply in respect of the Software Modules only and do not extend to other software operated by Licensee.

  • Specifically, (but without limitation to the foregoing) MEGANEXUS grants no warranties (except as set out in this Clause 6) of the fitness for purpose, quality or freedom from infringement of the Software Modules whether express or implied by statute at common law or otherwise.

  • MEGANEXUS does not warrant that the operation of the Software Modules will be uninterrupted or error free, nor does it guarantee that its remedial efforts will correct any non conformance (although MEGANEXUS shall use reasonable efforts to ensure that its remedial efforts will correct any non conformance).

  • MEGANEXUS hereby grants to Licensee a non-exclusive, non- sub licensable, non-transferable license for five years from the Commencement Date to make use of the hosted Software Modules solely in relation to the Purpose and subject to the Restrictions, upon the terms and conditions set out below.


More Definitions of Software Modules

Software Modules means the unmodified and fully compiled executable code for the Software identified in the Order Form(s) executed pursuant to this Agreement.
Software Modules means the software modules associated with the Mxxxx X System as used for spinal applications and shall include all improvements, Software Updates, upgrades and enhancements thereto, and future generations thereof.
Software Modules. The object code of the computer programs developed and owned by MEGANEXUS, as set out on the front page of this Agreement, licensed to Licensee under this Agreement (including any modifications and enhancements made as a result of the Services) and upgrades thereof which may be delivered to Licensee by MEGANEXUS pursuant to a current maintenance and support agreement; For clarity, the Software Modules do not include the data, which is owned by the Licensee (Schedule 2 Appendix A, 2.1).

Related to Software Modules

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Developed Software means software specifically designed for the Principal under the Contract. Depending how advanced its development is, it may be either a Product or a Service or both.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Oracle Software means any software agent, application or tool that Oracle makes available to You for download specifically for purposes of facilitating Your access to, operation of, and/or use with, the Services.

  • Software Updates means the Software releases, service packs, build updates or emergency fixes released from time to time in accordance with the Vocera’s update policy for such Software.

  • Supported Software means the supported software identified in the Proposal. System means the designated information technology environment in which the Software is to be used. Term means the term of this Agreement specified in clause 2.

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Client Software means software that allows a Device to access or utilize the services or functionality provided by the Server Software.

  • System Software means Software that provides the operating and management instructions for the underlying hardware and other components, and is identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Systems Software. Such System Software includes, but is not restricted to, micro-code embedded in hardware (i.e., “firmware”), operating systems, communications, system and network management, and utility software.

  • Software Update means a package used to upgrade software to a new version including a change of the configuration parameters.

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Hosted Software means the software owned and controlled by Vendor or Vendor’s third-party contractor that supports the Hosted Software Services.

  • Software Error means a reproducible defect or combination thereof in the Software that results in a failure of the Software when used in accordance with the Documentation. Software Errors do not include those errors caused by (a) Licensee’s negligence, (b) any unauthorized modification or alteration Licensee makes to the Software, (c) data that does not conform to Licensor’s specified data format, (d) operator error, or (e) use not conforming to the Licensor’s supported technical environment specified in the Documentation.
