On or shortly following the Signing Date, Purchaser shall reimburse Cliffwater for all reasonable and documented out-of-pocket fees and disbursements of one firm of outside legal counsel (and excluding the allocated costs of in-house counsel) to Cliffwater and CCLF Sub incurred on or prior to the Signing Date in connection with the preparation and negotiation of this Agreement in an aggregate amount not to exceed $25,000.
