Shortfall Shares definition

Shortfall Shares means the amount by which the Forfeiture Threshold exceeds the Determination Date Shares.
Shortfall Shares means, as of any time of determination, the number of Shares equal to the quotient obtained by dividing (a) the excess of (i) the Purchase Price paid by the Stockholder over (ii) the Actual Bonus Amount, by (b) the Original Price Per Share.

  • Eligible Shareholders who take up their Entitlement in full may, in addition to their Entitlement, apply for Shortfall Shares regardless of the size of their present holding by completing the accompanying Entitlement and Acceptance Form in accordance with the instructions set out on that form.

More Definitions of Shortfall Shares

Shortfall Shares means those New Shares not taken up by Eligible Shareholders under the Entitlement Offer or the Shortfall Facility, as well as New Shares that are not able to be taken up by Ineligible Shareholders.
Shortfall Shares means New Shares and New Options for which successful valid applications have not been received by the Closing Date.
