Shelf Take-Down definition

Shelf Take-Down has the meaning set forth in Section 2.4(a).

Shelf Take-Down means any offering or sale of Registrable Securities initiated by a Shelf Take-Down Initiating Holder pursuant to a Shelf Registration Statement.

Shelf Take-Down shall have the meaning set forth in Section 2(b).

Examples of Shelf Take-Down in a sentence

• Holders shall be entitled to deliver an unlimited number of Take-Down Notices to effect a Non-Underwritten Shelf Take-Down with respect to the Registrable Securities held by such Holder, in addition to the other registration rights provided in Section 2 and this Section 3.

• If a Shelf Holder intends to offer and sell the Registrable Securities covered by its request under this Article II by means of an Underwritten Shelf Take-Down, the participating Shelf Holders shall mutually select the managing underwriter or underwriters to administer such offering, which managing underwriter or underwriters shall be firms of nationally recognized standing.

• FaZe Media may withdraw a request for a Shelf Take-Down (a “Shelf Take-Down Request”) upon written notice to Game and the underwriter(s) of their intention to withdraw from such Shelf Take-Down at any time prior to the filing of the Prospectus relating to the Shelf Take-Down Request.

• For the avoidance of doubt, an Eligible Take-Down Holder that is not a Shelf Take-Down Initiating Holder cannot initiate a Shelf Take-Down.

• Such initiating Shelf Holder shall indicate in such Underwritten Shelf Take-Down Notice the number of Registrable Securities of such Shelf Holder to be included in such Underwritten Shelf Take- Down and whether it intends for such Underwritten Shelf Take-Down to involve a customary “road show” (including an “electronic road show”) or other marketing effort by the underwriters (a “Marketed Underwritten Shelf Take- Down”).
