Shelf Securities has the meaning given thereto in Section 6 hereof;

• The Company meets the requirements for use of Form F-10 under the Securities Act and has prepared and filed with the Commission the Registration Statement, including the U.S. Base Prospectus, for registration under the Securities Act of the offering and sale of the Shelf Securities, including the Shares, in accordance with the requirements of Form F-10.

• The Company and the Operating Partnership have prepared and filed with the Commission in accordance with the provisions of Securities Act of 1933, as amended, and the rules and regulations of the Commission thereunder (collectively, the "Securities Act"), a registration statement on Form S-3 (File No. 333-117842), relating to certain securities (the "Shelf Securities") to be issued from time to time by the Company or the Operating Partnership, as the case may be.

• The term “Base Prospectus” means the Final Base Prospectus, relating to the Shelf Securities, at the time the Reviewing Authority issued the Final Receipt, with respect thereto in accordance with Securities Laws, including NI 44-101 and NI 44-102, and includes all documents incorporated therein by reference and the documents otherwise deemed to be a part thereof or included therein pursuant to Securities Laws.

• The British Columbia Securities Commission (the “Reviewing Authority”) is the principal regulator of the Corporation under the passport system procedures provided for under Multilateral Instrument 11-102 – Passport System and National Policy 11-202 – Process for Prospectus Reviews in Multiple Jurisdictions (collectively, the “Prospectus Review Procedures”) in respect of the Shelf Securities and the Offering.

• The Company meets the requirements for the use of, and has prepared and filed with the Commission the Registration Statement, including a prospectus relating to the Shelf Securities, including the Securities, to be issued from time to time by the Company.
