Shareholders or Members definition

Shareholders or Members means the duly registered holder from time to time of the shares of the Company and shall include beneficial owners whose names are entered as a beneficial owner in the records of a depository.
Shareholders or Members means the duly registered holder(s) from time to time of the share(s) of the Company and includes the subscriber(s) of memorandum of the Company and also every person holding Equity Share(s) and / or Preference Share(s) of the Company as also one whose name is entered as benefical owner of the shares of the Company in the records of the Depository.

  • Every auditor is entitled to receive notice of, and attend, any meeting of Shareholders or Members and to be heard on any part of the business of the meeting which concerns the auditor.

  • Subject to the provisions of this Law, the articles, when registered, bind the Company and its Shareholders or Members to the same extent as if they respectively had been signed by the Company and by each Shareholder or Member, and contained covenants on the part of the Company and each Shareholder or Member to observe all the provisions of the articles.

  • The capacity of a Company is not limited by anything in its articles or by any act of its Shareholders or Members.

  • Legal personality Companies registered under this Law shall have a separate legal personality from that of their Shareholders or Members.

  • Copies of articles for Shareholders or Members A Company shall, on being so required by a Shareholder or Member, send to such Shareholder or Member a copy of the articles subject to payment of such reasonable fee as the Company may require.

  • If the articles of a Company are amended, the rights and obligations of the Shareholders or Members and/or the Company which have arisen under the articles prior to the date of such amendment shall not be affected unless the amendment provides otherwise.

  • The Shareholders or Members of a Company may, by Special Resolution change its name, provided that the new name is acceptable to the Registrar.

Related to Shareholders or Members

  • Unitholders means the holders of Units.

  • Unit Holders means all Unit Holders.

  • Shareholders means holders of Common Shares;

  • Junior Member means a registered Member of the Club who is younger than 18 years of age.

  • Investor Members mean those Persons who acquire Interests in the Initial Offering or Subsequent Offering and their successors and assigns admitted as Additional Economic Members.

  • Shareholder Group means (i) Shareholder and (ii) any Affiliate or Shareholder Family Entity (as defined in the Shareholder's Agreement) of Shareholder (other than the Company).

  • Class B Members means any Persons to whom Class B Membership Units are issued, and any assignee or transferee of such Persons permitted under the terms of this Agreement, and any other Person admitted to the Company in the future as a Class B Member pursuant to the terms hereof. The names of the Class B Members, and the Percentage Interests allocated to each such Class B Member, shall be reflected in the books and records of the Company.

  • Limited Partners means all such Persons.

  • Other Stockholders means persons other than Holders who, by virtue of agreements with the Company, are entitled to include their securities in certain registrations hereunder.

  • Common Shareholders means the holders of the Common Shares.

  • Class A Members means those Members who have purchased Class A Interests.

  • Parent Stockholders means the holders of Parent Common Stock.

  • Voting Members has the meaning set forth in Section 4.07(b).

  • Independent Shareholders means holders of Voting Shares, other than:

  • Founding Members means those public school districts, cities, counties, and other governmental units that are signatories to the Joint Powers Agreement and have a voting member serving on the JPA's Board of Directors.

  • Preferred Shareholders means the holders of Preferred Shares.

  • Preferred Member means a Member holding Preferred Units.

  • Founder Member means a subscriber to these rules for the purposes of registration;

  • Management Shareholders means Xxxxxx X. Xxxx, Xxxx X. Xxxxxxx, and Xxxxxx X. Xxxxxxxxx.

  • Other Shareholders means persons who, by virtue of agreements with the Company other than this Agreement, are entitled to include their securities in certain registrations hereunder.

  • Equity Member means each member of the Respondent team that will contribute equity as part of the financing of the Project.

  • Company Stockholders means the holders of shares of Company Capital Stock.

  • Stockholder Group means the Stockholder and each Person (other than any member of the Company Group) that is an Affiliate of the Stockholder.

  • Minority Shareholders means holders of Shares that were not tendered pursuant to the Offer or in the Subsequent Offering Period (as it may be extended by the Minority Exit Offering Period).
