Shareholders Approval definition

Shareholders Approval means as defined in Section 5.9.
Shareholders Approval means the approval of the Company's general meeting of shareholders, for this Agreement, the Transaction Documents and the transactions contemplated herein and therein, in accordance with the requirements of Sections 270(5) and 274 of the Companies Law.

  • Any term or condition hereof may be waived at any time prior to the Closing by the Party bound by the waiver; provided, however, that such waiver shall be evidenced by a written instrument duly executed on behalf of such Party by its duly authorized representative.

  • Promptly following the Court issuing such order, and in any event within three (3) Business Days following the date of such order, the Company shall publish a notice calling the Company Shareholders Meeting to be held on the date that is no later than thirty five (35) days following such notice for the purpose of obtaining the Shareholders Approval.

More Definitions of Shareholders Approval

Shareholders Approval has the meaning set forth in Section 4.03(b)(ii).
Shareholders Approval means the approval of the Buyer’s general meeting of shareholders, for this Agreement, the Transaction Documents and the transactions contemplated herein and therein, in accordance with the requirements of Sections 270(5) and 274 of the Companies Law.
Shareholders Approval means, assuming the accuracy of the representations set forth in Section 4 above, the affirmative vote (in person or by proxy) of the holders of at least 75% of the Company Shares present and voting at the Company Shareholders Meeting, or any adjournment or postponement thereof, in favor of the approval of this Agreement, the Merger and the other Transactions.
Shareholders Approval means the approval of the holders of no less than 75 (seventy five) per cent plus 1 (one) of the Shares of the total number of votes attached to the issued and fully paid-up voting Shares, unless otherwise expressly provided for in this Agreement;
Shareholders Approval has the meaning specified in Section 3.6.
Shareholders Approval shall have the meaning set forth in Section 4.7(a).
Shareholders Approval means the valid adoption of a resolution by the shareholders’ meeting of the Company validly approving (a) Clause 17 (Mandatory Prepayment) and (b) any other provision in this Agreement granting rights to third parties which could affect the Company’s assets or could impose an obligation on the Company where in each case the exercise of those rights is dependent on the occurrence of a public take-over bid or a Change of Control, in accordance with article 556 of the Belgian Companies Code.
