Shareholder Value definition

Shareholder Value. (also referred to as “SV”) means the amount for each Participation Pool obtained by subtracting (i) the Capital Charge for the Year from (ii) Net Operating Profit After Tax for the Year, or as follows: SV = NOPAT — Capital Charge.
Shareholder Value means the difference between (i) the Deal Value, less (ii) the Aggregate Option Holder Payment (as defined in Section 1.13(B)(2)).
Shareholder Value means the product of (a) the Value Per Share and (b) the number of Escrow Shares deposited with the Escrow Agent attributable to a Shareholder.

Shareholder Value means the average of the closing prices of one Share on the New York Stock Exchange (the “NYSE”) (or, if not then listed on the NYSE, on the principal market or quotation system on which it is then traded) for the 20 days on which Shares were traded prior to April 1, 2005 or the 20 days on which Shares were traded prior to and including the last day of the Measurement Period, as applicable. Notwithstanding the foregoing, for purposes of any Measurement Period ending on the date of a Change in Control, Shareholder Value shall mean the final price per Share agreed upon by the parties to the Change in Control.
Shareholder Value is defined as the occurrence of one of the following: (i) if following the SEC Effective Date, within any rolling 90 trading day period (in which the Registration Statement is continuously effective) the average of the 30 highest Volume Weighted Average Prices (not required to be consecutive) of the Common Shares is greater than $2.21 or (ii) if following the SEC Effective Date, within any rolling 90 trading day period (in which the Registration Statement is continuously effective) the average Volume Weighted Average Price of the Common Shares for 20 consecutive trading days is greater than $2.21. For the avoidance of doubt, all of the days in the computation of (i) and (ii) above shall fall within a period when the Registration Statement is continuously effective.
