Shareholder Representative definition

Shareholder Representative has the meaning set forth in the preamble.

Shareholder Representative means a person who is an employee or officer of the Member or its subsidiaries or an Energy Company designated as such on an in-force policy of the Company and is authorized to act on behalf of the Member with regard to the Company.

Any instrument or document executed by a majority of the individual members of the committee comprising or controlling the Shareholder Representative, in the committee’s capacity as such, shall be deemed a valid execution of such instrument or document on behalf of the Shareholder Representative.
