Shareholder Parties definition

Shareholder Parties has the meaning set forth in the Preamble.

Shareholder Parties means the Shareholder and any of its Permitted Transferees that holds Subject Shares or Preferred Shares and has executed and delivered to the Company a joinder to this Agreement in accordance with Section 5.6.

Shareholder Parties means ERI, the Medicor Group and/or the Belfer Group, as applicable.

• If the Shareholder Parties fail to agree on a valuation within 30 days of the applicable event, then the Offeror or Relevant Shareholder, as applicable, selects a valuator and the other Shareholders collectively select a valuator and those two valuators will select a valuator to determine Fair Market Value.

More Definitions of Shareholder Parties

Shareholder Parties means Shareholders who are parties to this Agreement from time to time, including any person (as defined below) who executes a Joinder Agreement in the form set out in Appendix A hereto, and “Shareholder Party” means any one of them;

Shareholder Parties means the Shareholder and any of its Permitted Transferees that holds Subject Shares and has executed and delivered to the Company a joinder to this Agreement in accordance with Section 5.6.

Shareholder Parties has the meaning given that term in the CCI Shareholders' Agreement.

Shareholder Parties means Shareholders who are party to the Shareholders Agreement from time to time (including any person who executes a joinder agreement in accordance with the terms of the Shareholders Agreement) and “Shareholder Party” shall mean any one of them.

Shareholder Parties means Xxxx Xxxxxxxxxx, DMGV and the Sponsor.

Shareholder Parties has the meaning set forth in the recitals hereto.

Shareholder Parties means, collectively, (i) the Shareholder, (ii) each holder of Shares, other than the Shareholder, that executes a governance agreement on the date hereof in a form substantially similar to this Agreement, (ii) each Transferee of Shares beneficially owned by the Shareholder in a Transfer that complies with the terms and conditions of this Agreement and who is required by this Agreement to become a party to, and agree to be bound by the terms and conditions of, this Agreement and (iii) each other holder of Shares who otherwise becomes a party to this Agreement pursuant to the terms and conditions of this Agreement.
