Shareholder Instruments definition

Shareholder Instruments means any instrument, document or security granting a right of subscription for, or conversion into, shares in the capital of any Group Company or loan notes or debt securities issued by a Group Company;
Shareholder Instruments means Shares, Loan Notes and Shareholder Interests;
Shareholder Instruments means: (i) Shares; (ii) Shareholder Loans and promissory notes related thereto; (iii) any other share capital of the Company; (iv) any loan stock, preferred equity certificates or any other equity-like instrument or interest in the Company; (v) any other instrument or interest evidencing indebtedness (whether or not interest bearing) in or issued by the Company in conjunction with any issued or to be issued share capital or other interest in the Company; and/or (vi) any interest in, or any instrument or document granting a right of subscription for, or conversion into, any of the items described in items (i) to (v) above or any analogous or equivalent interest in the Company;

Examples of Shareholder Instruments in a sentence

  • The Subscription Price in respect of any allocation of New Shareholder Instruments pursuant to this Schedule 1 shall be such price as the Shareholders shall agree or, if not so agreed, shall be the price per New Shareholder Instrument equal to the Fair Market Value as at the date of the Issue Notice.

  • If Combination Completion has not occurred within 30 months of Offer Completion, each of Manchester and Alpha shall be entitled to initiate the process for a Material Investor Initiated ROFO in respect of all of its Shareholder Instruments within twelve months thereafter.

  • The Fair Market Value of any Shareholder Instruments to be valued for the purposes of Schedule 1 (Pre-emption on Issue) or Schedule 4 (Option to Purchase) (the Valuation Shareholder Instruments) shall be determined by an expert in accordance with this Schedule 5.

  • The giving of a ROFO Offer Notice by the ROFO Seller to the ROFO Shareholder shall constitute an irrevocable offer by such ROFO Seller to transfer the ROFO Shareholder Instruments to the ROFO Shareholder for cash at the ROFO Offer Price and on the other terms set forth in the ROFO Offer Notice on the basis that the ROFO Shareholder may elect to take up all (and not part only) of the ROFO Shareholder Instruments offered to it (the ROFO Offer).
