Share Issue definition

Share Issue has the meaning given in clause 6.2;
Share Issue means the issue of the Acquiring Company New Shares; and
Share Issue means new ordinary shares the Purchaser intends to issue or rights thereto either by a private placement or by granting transferable subscription rights to its existing shareholders pro rata to their shareholdings in order to fund the Purchase Price and the Refinancing Amount or repay the amount drawn under a financing used to pay the Purchaser Price and the Refinancing Amount;

Examples of Share Issue in a sentence

  • The Share Issue Mandate will end on the earliest of: (i) the conclusion of the next annual general meeting of the Company; (ii) the expiration of the period within which the next annual general meeting of the Company is required pursuant to the Articles or any applicable laws to be held; or (iii) the revocation or variation of the authority given under this resolution by an ordinary resolution of the Shareholders in general meeting.

  • As at the date of this announcement, no Shares had been issued pursuant to the Share Issue Mandate.

  • In the event that the resolution relating to the Proposed Transfer is not passed, the resolution relating to the New Share Issue Mandate will also not be passed.

  • Share Issue expenses in relation to increase in share capital are written off when incurred.

More Definitions of Share Issue

Share Issue has the meaning given to it in Clause 7.5 (Mandatory Prepayment).
Share Issue means an issue of ordinary shares by the Borrower or the Primary Guarantor (when making a Share Issue, each being an “Issuer”), paid for in full cash upon issue and which by their terms are not redeemable and where such shares are of the same class and on the same terms as those initially issued by the Issuer but excluding shares issued to any member of the BMS Group.
