Share Charge definition

Share Charge shall have the meaning provided in Section 5.06.
Share Charge means the share charge dated the date of this Deed in favour of the Security Trustee given in favour of the Security Trustee by the Chargor over the shares representing the entire issued share capital of Guarantor II, a company incorporated under BVI laws, as may be amended, supplemented and/or varied from time to time.
Share Charge means the share charge entered into by the Parent granting a fixed charge over its shareholding in the Company in the agreed form delivered under Schedule 2 (Conditions Precedent).

  • On 28 September 2021, the Deed of Release has been executed by Option Best in favour of the Vendor and the Share Charge has been released accordingly.

More Definitions of Share Charge

Share Charge that certain Share Charge dated on or prior to the Advance Date by the Borrower Parent in favor of the Security Trustee in relation to the Borrower.
Share Charge means the charge in respect of the issued share capital of each of the Owner and the Parent in the form attached at Appendix 7 (Form of Share Charge) entered into or to be entered into on or prior to the Incidental Costs Loan Utilisation Date and granted by each of the Parent and the Parent Shareholder, respectively, in favour of the Security Trustee.
Share Charge means, in relation to each Owner, the charge of all of the issued shares in the capital of such Owner executed or (as the context may require) to be executed by the Borrower (or such other direct shareholder of the Owner (being a wholly-owned Subsidiary of the Borrower) as the Agent may require) in favour of the Agent as security agent and trustee on behalf of the Finance Parties pursuant to clause 8.1.14 such charge to be in form and substance acceptable to the Agent and “Share Charges” means all of them;

Share Charge means any share charge or share pledge, in each case in the agreed form, executed or to be executed in favour of the Finance Parties represented by the Security Trustee over all or substantially all of the issued share capital of any Group Company.
Share Charge means the Irish law Share Charge, dated as of October 1, 2010 among the Company and the Collateral Agent pursuant to which the Company has charged all of its shareholding in Dialogic Manufacturing Limited in favor of the Collateral Agent.
