Share CFD definition

Share CFD means a Financial Product where the underlying asset is a security listed on an exchange. Short Party means in respect of any Order the party identified in the Trade Confirmation Notice as having notionally sold the underlying asset or assets to the OTC derivative contract.
Share CFD is a form of CFD that gives exposure to changes in share prices. It is not an agreement to buy or sell any amount of shares and, unless you and we expressly agree separately in writing, it cannot result in the delivery of any shares to or by you. The share Instrument upon which the Share CFD is based may be an Order Book Share or a Market Maker Share;
Share CFD means a CFD whose Underlying Financial Product is a financial product traded on an Exchange and which itself is not a margin product. This covers Exchange-traded equities, units in listed funds, stapled securities, exchange traded funds (known as ETFs). Short Party means the party to a Transaction (including a CFD) who is treated as having notionally sold the Underlying Financial Product. Spot means the theoretical Value Date for a Transaction two Business Daysfollowingtheday on which the Transaction is entered into. Tax means any present or future tax, levy, impost, deduction, charge, duty, compulsory loan or withholding (together with any related interest, penalty, fine or expense in connection with any of them)leviedorimposedbyanyGovernmentAgency, other than any imposed on overall net income. Terms Currency is the second currency quoted in a pair for a CFD, for example for the quote AUD/USD, the Terms Currency is the USD. Terms means all of the provisions of the Application Form and of this document (inducing the relevant Schedules), each as amended from time to time.

  • Set out below are some simple examples to illustrate how Share CFD trading strategies may give rise to profits and losses.

  • The actual transaction fee on Share CFDs will be either the minimum fee specified for that Share CFD or an amount based on the value of the transaction.

  • Without derogating the provisions of this Agreement, Share CFD Transactions may be terminated by the Company upon the occurrence of the events set out in Sections 11.7.1 – 11.7.4 hereunder.

  • Short Share CFD positionIf you have a short Share CFD position your Account may be debited for an amount equal to the Grossed-up Dividend.

  • Long Share CFD positionIf you have a long Share CFD position your Account will be credited with an amount equal to the net amount of the Cash Dividend less 30% representing an adjustment for all taxes on the underlying security or securities.

  • For example, if the Underlying Instrument of your Share CFD is a security listed on the London Stock Exchange, you will incur a financial fee if you hold the Share CFD overnight UK time.

  • A Stop-loss order is an order placed to limit the loss on an Open Position: • Share CFD ExampleYou have bought (long) 1,000 Qantas CFDs at an opening price of AUD$3.30.

  • Without derogating the provisions of this Agreement, Share CFD Transactions may be terminated by the Company upon the occurrence of the events set out in Sections 6.39 – 6.41 hereunder.

  • FP Markets will not quote Share CFDs if the Share CFD is over shares in a company which becomes externally administered.

  • Share Charge shall have the meaning provided in Section 5.06.

  • Common Shares means the common shares in the capital of the Company;

  • Ordinary Share Capital means any issued and outstanding shares of the Company with voting or other rights of management and control and any outstanding securities of the Company that are convertible into such shares at the option of the holder;

  • Voting Share Capital means the total voting equity share capital of the Target Company on a fully diluted basis expected as of the 10th (Tenth) Working Day from the closure of the Tendering Period for the Offer.

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Paid-up share capital means the paid-up share capital as defined in Section 2 of the Companies Act, 2013.

  • Ordinary Shares shall have the meaning given in the Recitals hereto.

  • New Shares means ordinary or common shares, whether of the entity or person (other than the Share Issuer) involved in the Merger Event or a third party, that are, or that as of the Merger Date are promptly scheduled to be, (i) publicly quoted, traded or listed on an exchange or quotation system located in the same country as the Exchange (or, where the Exchange is within the European Union, in any member of state of the European Union) or on another exchange acceptable to the Issuer and (ii) not subject to any currency exchange controls, trading restrictions or other trading limitations.

  • Share Certificates The term Share Certificates shall mean the stock certificates for the Shares of the Fund.

  • Per Share Cash Amount for purposes of this Section 2(b) means an amount equal to the sum of (I) the average of the closing price of the Common Stock for the 20 trading days immediately preceding the date of the Change in Control and (II) any cash dividend payable on a share of Common Stock during the 20 trading-day period described in the foregoing. If settlement of the Performance Share Units may not be made within the period specified in this Section 2(b) due to the limitation in Section 14(t)(iii)(A) of the Plan, such settlement shall be made in accordance with Section 5 of the Agreement.

  • Share Capital means: (i) any shares, interests, participations or other equivalents (however designated) of share capital of a company; (ii) any ownership interests in a Person other than a company, including membership interests, partnership interests, joint venture interests and beneficial interests; and (iii) any warrants, options, convertible or exchangeable securities, subscriptions, rights (including any pre-emptive or similar rights), calls or other rights to purchase or acquire any of the foregoing.

  • Fully Diluted Company Shares means the total number of issued and outstanding shares of Company Common Stock, (a) after giving effect to the Company Preferred Stock or otherwise treating shares of Company Preferred Stock on an as-converted to Company Common Stock basis, and (b) treating all outstanding in-the-money Specified Company Warrants as fully vested and as if the Specified Company Warrants had been exercised for cash as of the Effective Time, but for the avoidance of doubt excluding any Company Securities described in Section 1.11(b).

  • Ordinary Shareholder means a holder of ordinary shares;

  • sweat equity shares means equity shares issued by a company to its employees or directors at a discount or for consideration other than cash for providing know-how or making available rights in the nature of intellectual property rights or value additions, by whatever name called;

  • Subco Shares means the common shares in the capital of Subco;

  • Unit Shares means the Common Shares comprising part of the Units;

  • Shares means the interests of Shareholders corresponding to the redeemable securities of record issued by the Fund under the Investment Company Act of 1940 that are held by the Intermediary.

  • Per Share Consideration means (i) if the consideration paid to holders of the Common Stock consists exclusively of cash, the amount of such cash per share of Common Stock, and (ii) in all other cases, the volume weighted average price of the Common Stock as reported during the ten (10) trading day period ending on the trading day prior to the effective date of the applicable event. If any reclassification or reorganization also results in a change in shares of Common Stock covered by subsection 4.1.1, then such adjustment shall be made pursuant to subsection 4.1.1 or Sections 4.2, 4.3 and this Section 4.4. The provisions of this Section 4.4 shall similarly apply to successive reclassifications, reorganizations, mergers or consolidations, sales or other transfers. In no event will the Warrant Price be reduced to less than the par value per share issuable upon exercise of the Warrant.

  • Share Consideration has the meaning given to it in Section 2.2;

  • Scheme Shares means the Target Shares which are subject to the Scheme in accordance with its terms.
