Additionally, employee acknowledges that he was not awarded and is not entitled to any “PSUs” under the Performance Share Award Agreement dated February 15, 2022 (the “PSU Agreement”) and any rights or obligations under the PSU Agreement are hereby forfeited and terminated.
Following the commencement of the term of this Agreement, the Consultant shall be entitled to receive a Restricted Share Award consisting of a certain amount of Ordinary Shares of the Company (the “Restricted Shares”) per year, on the terms and conditions and subject to performance review and any restrictions set forth in the Guardforce AI Co., Limited 2022 Equity Incentive Plan, as amended from time to time (the “Plan”).

This Agreement and the Performance Share Award arrangement described herein is intended to comply with Section 409A of the Internal Revenue Code of 1986, as amended (“Code Section 409A”), and shall be interpreted to the maximum extent possible in accordance with such intent.
