Series C Common Stock definition

Series C Common Stock means the Series C Common Stock, par value $0.01 per share, of the Company.

• Holders of Series C Common Stock will not be entitled to any voting powers, except as (and then only to the extent) otherwise required by the laws of the State of Delaware.

• If a vote or consent of the holders of Series C Common Stock should at any time be required by the laws of the State of Delaware on any matter, the holders of Series C Common Stock will be entitled to one-hundredth (1/100) of a vote on such matter for each share of Series C Common Stock held of record.

• Each share of Series A Common Stock, each share of Series B Common Stock and each share of Series C Common Stock will, except as otherwise provided in this Restated Certificate, be identical in all respects and will have equal rights, powers and privileges.

Series C Common Stock means shares of the Company’s Series C common stock, par value $.01 per share. “settlement” and “settle” have the meanings set forth in Section 9.1(j)(iv) of this Agreement.
