Series B Purchaser definition

Series B Purchaser means Enfield Holdings, L.P., a Delaware limited partnership, and its permitted assigns in accordance with the Series B Purchase Agreement.

Series B Purchaser is defined in the addressee line to this Agreement.

Series B Purchaser means each of the Persons whose names appear on Schedule B attached hereto as a holder of Series B Notes.

• Subject to the terms and conditions of this Agreement, the Company will issue and sell to each Series B Purchaser and each such Purchaser will purchase from the Company, at the Restatement Closing provided for in Section 4.1, Series B Notes in the principal amount specified opposite such Purchaser’s name in Schedule A at the purchase price of 100% of the principal amount thereof.

• Contemporaneously with the Restatement Closing, the Company shall sell to each other Series B Purchaser and each other Series B Purchaser shall purchase the Series B Notes to be purchased by it at such Restatement Closing in the principal amount set forth under such Series B Purchaser’s name on Schedule A hereto.

• Subject to the terms and conditions of this Agreement, the Company will issue and sell to each Series B Purchaser and each such Series B Purchaser will purchase from the Company, at the Closing provided for in Section 3.1, Series B Notes in the principal amount specified opposite such Series B Purchaser’s name in Schedule A at the purchase price of 100% of the principal amount thereof.

• The Company hereby agrees to sell to each Series A Purchaser and Series B Purchaser and, subject to the terms and conditions herein set forth, each Series A Purchaser and Series B Purchaser agrees to purchase from the Company the aggregate principal amount of Series A Notes and/or Series B Notes set forth opposite such Series A Purchaser’s or Series B Purchaser’s name in the Purchaser Schedule attached hereto at 100% of such aggregate principal amount.

• Each Series B Purchaser represents that it is an “accredited investor” within the meaning of Regulation D under the Securities Act.

Series B Purchaser means Enfield Holdings, L.P., a Delaware limited partnership, and its permitted assigns in accordance with the Series B Purchase Agreement. “Series B Quarterly Distribution” has the meaning assigned to such term in Section 5.10(b)(ii)(A).
