The Certificate of Incorporation of the Company shall not be amended in any manner which would materially alter or change the powers, preferences or special rights of the Series A-1 Preferred Stock so as to affect them adversely without the affirmative vote of the holders of at least two-thirds of the outstanding shares of Series A-1 Preferred Stock, voting together as a single class.
The shares of Series A-1 Preferred Stock shall not be redeemable.
Each Purchaser, stockholders of the Company owning a majority of the issued and outstanding Series A-1 Preferred Stock of the Company, and the other stockholders of the Company named as parties thereto shall have executed and delivered the Right of First Refusal and Co-Sale Agreement.
