Series 2016A Certificates definition

Series 2016A Certificates means the $[PAR] Certificates of Participation, Series 2016A Evidencing Undivided Proportionate Interests of the Owners thereof in Basic Lease Payments to be made by The School Board of Broward County, Florida, as Lessee, pursuant to a Master Lease Purchase Agreement with Broward School Board Leasing Corp., as Lessor.

Series 2016A Certificates means Certificates of Participation (The School Board of Pinellas County, Florida Master Lease Program), Series 2016A Evidencing an Undivided Proportionate Interest of the Owners thereof in Basic Rent Payments to be made under a Master Lease-Purchase Agreement by The School Board of Pinellas County, Florida, to be dated as of their date of issuance (or such other date as shall be set forth in the Certificate Purchase Agreement executed and delivered in connection with the issuance of the Series 2016A Certificates) and to be executed, authenticated and delivered by the Trustee under the Trust Agreement in accordance with the provisions of this Resolution and the Series 2016A Supplemental Trust Agreement.

Series 2016A Certificates means the Refunding Certificates of Participation (School Board of Sarasota County, Florida Master Lease Program), Series 2016A Evidencing an Undivided Proportionate Interest of Owners thereof in Basic Rent Payments to be made under a Master Lease-Purchase Agreement by the School Board of Sarasota County, Florida, to be executed, authenticated and delivered by the Trustee under the Trust Agreement, but only in accordance with the terms hereof.

Examples of Series 2016A Certificates in a sentence

• Notice of an Event of Non-Appropriation pursuant to Section 7.01 of the Master Lease Agreement shall be given to the Owner of the Series 2016A Certificates.

• Capitalized terms used in this letter, but not otherwise defined herein, shall have the same meanings set forth in Exhibit A to the Trust Agreement and in the Board's Certificate as to Arbitrage and Certain Other Tax Matters relating to the Series 2016A Certificates.

• For purposes of this letter, any instructions relating to a fund, account or subaccount established under the Trust Agreement shall be deemed to apply only to that portion of such fund, account or subaccount allocable to the Series 2016A Certificates.

• The Series 2016A Certificates shall be issued upon delivery to the Trustee of the documents referred to in Section 4.13(b) of the Trust Agreement and the payment of the purchase price therefor.

• The Owners of the Series 2016A Certificates shall have no claim against, nor receive any benefits from, any portion of the Trust Estate derived from the sale, re-letting or other disposition of Projects, other than the Series 2009 Project and the Series 2010B Project (on a pro rata basis with the Owners of the Outstanding Certificates, as described herein), or any cash, securities and investments in the Pledged Accounts, other than the Series 2016A Pledged Accounts.

• Upon the delivery of the Series 2016A Certificates, the Refunded Certificates shall be refunded as provided in the Trust Agreement and the Escrow deposit agreement.

• As long as the Series 2016A Certificates are Outstanding, the Board shall send electronically to the Initial Purchaser the Board's (a) audited financial statements for each Fiscal Year ending on or after June 30, 2016 within 210 days after the end thereof, unless the audit is conducted by the Auditor General of the State, in which case, the annual audit shall be provided within 15 days of its availability.

• The Series 2016A Certificates are not subject to extraordinary mandatory prepayment prior to maturity pursuant to Section 6.03(g) of the Master Trust Agreement or Section 5.08(c) of the Lease Agreement.

• Attached hereto as Schedule 1 is the Letter of Instructions relating to the Series 2016A Certificates as required by Section 6.12 of the Trust Agreement.

• The Basic Rent Payment Dates with respect to the Outstanding Series 2009 Certificates and the Series 2016A Certificates allocable to this Amended and Restated Lease Schedule shall be June 15 and December 15 of each year.
