Separate Payment definition

Separate Payment shall have the meaning set forth in Section 7.2(ii).
Separate Payment means that the Centers for Medicare and Medicaid Services (“CMS”) pays for any Subject Product in addition to the packaged payment rate established by CMS for the applicable surgical procedure when used for the treatment of Medicare Part B beneficiaries in the ambulatory surgical center setting, or any substantially equivalent reimbursement status.
Separate Payment has the meaning set forth in Section 4.1(j).

Examples of Separate Payment in a sentence

  • Neither the Company nor the Participant, individually or in combination, may accelerate any payment or benefit that is subject to Section 409A, except in compliance with Section 409A and the provisions of this Agreement, and no amount that is subject to Section 409A shall be paid prior to the earliest date on which it may be paid without violating Section 409A.(e)Treatment of Each Installment as a Separate Payment.

  • To the extent provided under the Applicable Tax Law, you may treat each payment to be made to you as a “Separate Payment.” Consistent with the Applicable Tax Law and with the consent of the Plan Administrator, you may extend the Deferral Period or the date of payment separately with respect to each Separate Payment.

  • Similarly, the Consultant's engagement shall terminate upon his death, and shall be deemed a termination by the Company without Cause, with payments of the Consulting Fee and Separate Payment (if any) to be made to the Consultant's estate.

  • Similarly, the Executive's employment shall terminate upon his death, and shall be deemed a termination by the Company without Cause, with payments of the Base Salary and Separate Payment (if any) to be made to the Executive's estate.

  • In consideration of the Consultant's release and agreements set forth in Section 6 below, the Company shall pay the Consultant, the one-time payment specified in Exhibit 4 (the "Separate Payment"), which Separate Payment shall be due and payable in equal installments over a 12-month period in accordance with the Company's payroll policy, subject to Section 5 below.

  • If the Company terminates the Consultant's engagement without Cause prior to the expiration of the Consulting Period, the Company shall pay the Consultant: (i) the balance of the Separate Payment then due and owing to the Consultant pursuant to Section 4(b), and (ii) any Consulting Fee accrued or owing to the Consultant hereunder through the date of termination.

  • If the Executive's employment is terminated by the Company for Cause, the Company shall pay the Executive: (i) the balance of the Separate Payment then due and owing to the Executive pursuant to Section 4(c); and (ii) any Base Salary accrued or owing to the Executive hereunder through the date of termination, less any amounts owed by the Executive to the Company or any of its, subsidiaries, and the Company shall have no further liability or obligation to the Executive hereunder.

Related to Separate Payment

  • Section 409A Deferred Compensation means compensation provided pursuant to an Award that constitutes nonqualified deferred compensation within the meaning of Section 409A.

  • Late Payment means any amount that is due and payable by law under a written procurement contract, without deferral, delay, or set-off under COMAR 21.02.07.03, and remains unpaid more than 45 days after an agency receives a Proper Invoice.

  • Section 409A Payment Date means the earlier of (a) the date of Executive’s death or (b) the date that is six months after the date of termination of Executive’s employment with the Company.

  • Aggregate Payments as defined in Section 7.2.

  • Note Payment Sequence means the application of Interest Proceeds in accordance with the Interest Proceeds Priority of Payments or the application of Principal Proceeds in accordance with the Principal Proceeds Priority of Payments, as applicable, in the following order:

  • Closing Date Payment has the meaning set forth in Section 2.04(a)(i).

  • Deferred Compensation means the Compensation elected by the Participant to be deferred pursuant to the Plan.

  • Late Payment Fee means the excess of the Price Differential paid as a result of its calculation at the Post-Default Rate over the Price Differential as would have been calculated at the Pricing Rate.

  • Separation Payment means any lump sum cash payment in excess of Earned Salary and Accrued Obligations payable to Employee under this Agreement.

  • Deferred Compensation Account means the account maintained with respect to each Participant under the Plan. The Deferred Compensation Account shall be credited with Participant Deferral Credits and Employer Credits, credited or debited for deemed investment gains or losses, and adjusted for payments in accordance with the rules and elections in effect under Section 8. The Deferred Compensation Account of a Participant shall include any In-Service or Education Account of the Participant, if applicable.

  • Short-Term Deferral Period means the period ending on the later of the 15th day of the third month following the end of the Executive’s tax year in which the separation from service occurs and the 15th day of the third month following the end of the Company’s tax year in which the separation from service occurs; and

  • Section 409A means Section 409A of the Code and the regulations and other guidance promulgated thereunder.

  • Specified Employee means a key employee (as defined in Section 416(i) of the Code without regard to paragraph 5 thereof) of the Company if any stock of the Company is publicly traded on an established securities market or otherwise.

  • Parachute Payment means a payment that is described in Code Section 280G(b)(2), determined in accordance with Code Section 280G and the regulations promulgated or proposed thereunder.

  • Swap Termination Payment Upon the designation of an “Early Termination Date” as defined in the Swap Agreement, the payment to be made by the Swap Administrator to the Swap Provider from payments from the Trust Fund, or by the Swap Provider to the Swap Administrator for payment to the Trust Fund, as applicable, pursuant to the terms of the Swap Agreement.

  • Note Payment Account means the account established and maintained as such pursuant to Section 4.1(b).

  • Certificate Payment Account means the account established and maintained as such pursuant to Section 4.1(c).

  • Section 409A of the Code means the nonqualified deferred compensation rules under Section 409A of the Code and any applicable treasury regulations and other official guidance thereunder.

  • Compensation Payment means a payment, whether in monetary form or in the form of a benefit or service, by or on behalf of an insurer to a complainant to compensate the complainant for a proven or estimated financial loss incurred as a result of the insurer’s contravention, non-compliance, action, failure to act, or unfair treatment forming the basis of the complaint, where the insurer accepts liability for having caused the loss concerned, but excludes any –

  • Code Section 409A means Section 409A of the Code and the regulations and guidance promulgated thereunder.

  • Excess Parachute Payment means a payment described in Section 280G(b)(1) of the Code.

  • Section 409A Limit means the lesser of two (2) times: (i) Executive’s annualized compensation based upon the annual rate of pay paid to Executive during the Company’s taxable year preceding the Company’s taxable year of Executive’s termination of employment as determined under Treasury Regulation 1.409A-1(b)(9)(iii)(A)(1) and any Internal Revenue Service guidance issued with respect thereto; or (ii) the maximum amount that may be taken into account under a qualified plan pursuant to Section 401(a)(17) of the Code for the year in which Executive’s employment is terminated.

  • Qualified employer means the federal government.

  • Contingent Compensation Payment means any payment (or benefit) in the nature of compensation that is made or made available (under this Agreement or otherwise) to a “disqualified individual” (as defined in Section 280G(c) of the Code) and that is contingent (within the meaning of Section 280G(b)(2)(A)(i) of the Code) on a Change in Ownership or Control of the Company.

  • Nonqualified deferred compensation plan means a compensation plan described in Section 3121(v)(2)(C) of the Internal Revenue Code.

  • Termination Payment has the meaning set forth in Section 6.03.
