  • Each Trust Payment with respect to a Senior Trust Certificate will be deemed to also be a Debt Payment and will reduce the outstanding principal amount of the New Senior Subordinated Note to which it corresponds by the amount of such Trust Payment.

  • Payment in respect of principal and interest on any Payment Date with respect to any Senior Trust Certificate shall be made to the Person in whose name such Senior Trust Certificate is registered on the Regular Record Date immediately preceding the applicable Payment Date.

  • If a Senior Trust Certificate is prepaid on or after a Regular Record Date but on or prior to the related Payment Date, then all amounts in respect of such prepayment shall be paid to the Person in whose name such Senior Trust Certificate was registered at the close of business on such Regular Record Date.

Related to Senior Trust Certificate

  • Trust Certificate means a certificate evidencing the beneficial interest of a Certificateholder in the Trust, substantially in the form of Exhibit A to the Trust Agreement.

  • Grantor Trust Certificates Any class of commercial mortgage pass-through certificates issued under this Agreement that is designated as evidencing an interest in the Grantor Trust. The Class S Certificates and the Class VRR Certificates shall be the only Classes of Grantor Trust Certificates issued under this Agreement.
