Senior Investment Management Fee definition

Senior Investment Management Fee means the fee payable to the Investment Manager in arrear on each Payment Date in respect of each Due Period pursuant to the Investment Management Agreement in an amount, as determined by the Collateral Administrator, equal to 0.15 per cent. per annum (calculated on the basis of a 360-day year and the actual number of days elapsed in such Due Period) of the Aggregate Collateral Balance as at the beginning of the Due Period immediately preceding such Payment Date.
Senior Investment Management Fee means the fee payable to the Investment Manager on each Payment Date (subject to availability of funds and to the Priority of Payments) in an amount equal to 0.15 per cent. per annum of the Aggregate Collateral Balance. and is payable before any interest payments on the Rated Notes. This fee will be calculated on the basis of a calendar year consisting of 360 days and the actual number of days elapsed.
Senior Investment Management Fee means the fee payable to the Investment Manager in arrear on each Payment Date in respect of the immediately preceding Due Period, pursuant to the Investment Management Agreement in an amount, as determined by the Collateral Administrator, equal to 0.20% per annum (calculated semi-annually on the basis of a 360-day year and the actual number of days elapsed in such Due Period) of the Average Aggregate Collateral Balance in such Due Period immediately preceding such Payment Date and if deferred in accordance with the Priorities of Payment (other than by reason of the limitation of the amount payable pursuant to the Senior Investment Management Fee Cap), interest shall accrue at the rate of EURIBOR plus 3% per annum and shall be payable pro-rata to the Investment Manager and any former investment managers by reference to the period of time that such entity was the “Investment Manager”.

  • Redirection of funds to reinvestment The Investment Manager may, pursuant to the Priorities of Payment, redirect funds (including by deferring or designating for reinvestment some or all of its Senior Investment Management Fee or Subordinated Investment Management Fee) to be applied toward the acquisition of additional Collateral Debt Obligations (if designated for reinvestment) or the payment of lower ranking amounts pursuant to the Interest Proceeds Priority of Payments if deferred.

Senior Investment Management Fee means a fee, payable in arrears on each Distribution Date subject to the Priority of Payments, in an amount equal to the product of (x) the Fee Payment Percentage and (y) 0.10% per annum of the Fee Balance. The “Subordinated Investment Management Fee” means a fee, payable in arrears on each Distribution Date subject to the Priority of Payments, in an amount equal to the product of (x) the Fee Payment Percentage and (y) 0.40% per annum of the Fee Balance.

Senior Investment Management Fee means the fee payable to the Investment Manager in arrear on each Payment Date in respect of the immediately preceding Due Period pursuant to the Investment Management Agreement in an amount, as determined by the Collateral Administrator, equal to 0.10 per cent. per annum (calculated quarterly on the basis of a 360 day year and the actual number of days elapsed in such Due Period) of the Aggregate Collateral Balance as at the first day of the Due Period (or if such day is not a Business Day, the next day which is a Business Day) immediately preceding such Payment Date, provided that if further or additional Notes are issued (pursuant to Condition 17 (Additional Issuances) or otherwise) during a Due Period, the Collateral Administrator shall determine the Senior Investment Management Fee payable to the Investment Manager in arrear on the immediately following Payment Date by reference to an amount equal to the sum of (i) the Aggregate Collateral Balance on the first day of such Due Period multiplied by a fraction equal to (a) the number of days from and including the first day of such Due Period to but excluding the day on which such further or additional Notes were issued divided by (b) the total number of days in such Due Period and(ii) the Aggregate Collateral Balance as at the date on which such further or additional Notes were issued multiplied by a fraction equal to (a) the number of days from and including the date on which such further or additional Notes were issued to but excluding the last day of such Due Period divided by (b) the total number of days in such Due Period (such calculation to be expanded accordingly to reflect more than a single issuance of further or additional Notes during a Due Period).
Senior Investment Management Fee means the fee payable to the Investment Manager in arrear on each Payment Date in respect of the immediately preceding Due Period pursuant to the Investment Management Agreement (which may be waived or deferred at the Investment Manager's discretion) in an amount, as determined by the Collateral Administrator, equal to0.15 per cent. per annum (calculated on each Determination Date on the basis of a 360-day year and the actual number of days elapsed in such Due Period) of the Average Aggregate Principal Balance (where for such purpose the Aggregate Principal Balance shall be determined with respect to the EOS Portfolio only).
Senior Investment Management Fee means the fee payable to the Investment Manager in arrear on each Payment Date in respect of each Due Period pursuant to the Investment Management Agreement in an amount, as determined by the Collateral Administrator, equal to (i) 0.04 per cent. per annum with respect to Payment Dates occurring during the Reinvestment Period and (ii) 0.10 per cent. per annum with respect to Payment Dates occurring after the Reinvestment Period (in each case calculated quarterly on the basis of a 360-day year and the actual number of days elapsed in such Due Period) of the Aggregate Collateral Balance as at the first Business Day of the Due Period immediately preceding such Payment Date.
Senior Investment Management Fee means the fee of such name payable to the Investment Manager on each Payment Date pursuant to the Investment Management Agreement, equal to 0.20 per cent. per annum of the Aggregate Collateral Balance on the first Business Day of the Due Period preceding such Payment Date and calculated on the basis of a 360-day year comprised of twelve 30-day months, plus any VAT, whether payable to the Investment Manager or directly to the relevant taxing authority, payable thereon.
Senior Investment Management Fee means the fee of such name payable to the Investment Manager on each Payment Date pursuant to the Investment Management Agreement, equal to 0.05 per cent. per annum of the Aggregate Collateral Balance on the first Business Day of the Due Period preceding such Payment Date and calculated on the basis of a 360-day year and actual days elapsed, plus any VAT, whether payable to the Investment Manager or directly to the relevant taxing authority, payable thereon, and any Senior Investment Management Fee not paid on a Payment Date (together with interest thereon in accordance with the Investment Management Agreement) shall be included in the Senior Investment Management Fee payable on the next occurring Payment Date.
