Two million shares of the Preferred Stock of the Corporation shall be designated as Senior Exchangeable Preferred Stock Due 2006 (the "Senior Preferred Stock").
The Company shall cause the Exchange Debentures to be executed on the Exchange Date and, upon surrender in accordance with the Exchange Notice of the certificates for any shares of the Senior Exchangeable Preferred Stock so exchanged (properly endorsed or assigned for transfer, if the Exchange Notice shall so state), such shares shall be exchanged by the Company into Exchange Debentures as aforesaid.

In the event that any of the conditions set forth in clauses (A) through (F) of the preceding sentence are not satisfied on the Exchange Date, then no shares of Senior Exchangeable Preferred Stock shall be exchanged, and in order to effect an exchange as provided for in this Section 4, the Company shall be required to fix another date for the exchange and issue a new Exchange Notice and the Company shall use its best efforts to satisfy such conditions and effect such exchange as soon as practicable.
