Senior Bank Debt definition

Senior Bank Debt means the Indebtedness (including letters of credit) outstanding under the Credit Facility as such agreement may be restated, further amended, supplemented or otherwise modified or replaced from time to time hereafter, together with any refunding or replacement of such Indebtedness.
Senior Bank Debt means all Obligations outstanding under or in connection with the Credit Agreement (including Guarantees of such Obligations by Subsidiaries of the Company).
Senior Bank Debt means (i) the Indebtedness outstanding under the Senior Credit Facility, and (ii) all Obligations incurred by or owing to the holders or their agent or representatives of such Indebtedness outstanding under the Senior Credit Facility (including, but not limited to, all fees and expenses of counsel and all other interest, charges, fees and expenses).

Senior Bank Debt means the Indebtedness and obligations outstanding under the Bank Credit Agreement, including, without limitation, all principal, interest, fees, indemnities, reimbursement claims or otherwise and whether or not such obligations accrue before or after the commencement of any bankruptcy, insolvency or similar proceeding or constitute an allowed claim in any such proceeding.
Senior Bank Debt for purposes hereof shall mean the sum of all of the Borrower’s indebtedness for borrowed money that in accordance with generally accepted accounting principles would be considered as a liability, and all obligations of the Borrower incurred in connection with any existing or future lease transactions capitalized or required to be capitalized on the Borrower’s books.

Notwithstanding anything to the contrary in the foregoing, Senior Debt shall not include (i) any liability for federal, state, local or other taxes owed or owing by the Company, (ii) any Debt of the Company to any of its Subsidiaries or other Affiliates or (iii) any trade payables. 4.15 "Senior Debt Default" shall have the meaning given such term in Section 5.2 hereof. 4.16 "Subordinated Distributions" shall have the meaning given such term in Section 5.1 hereof. 4.17 "Subordinated Payments" shall have the meaning given such term in Section 5 hereof. 5.
