In the event of any such termination, there shall be no further liability on the part of the Underwriter to the Selling Shareholder or the Company or on the part of the Selling Shareholder or the Company to the Underwriter, except in respect of any liability which may have arisen prior to or arise after such termination under Sections 17, 18 and 20.
The Underwriter shall after the Closing Time give prompt written notice to the Company and the Selling Shareholder when, in the opinion of the Underwriter, it has completed distribution of the Securities, including the total proceeds realized in each of the Qualifying Jurisdictions, the United States and any other jurisdiction.
