Selling Person definition

Selling Person means Tribute, each of its Affiliates and each licensee, sublicensee, assignee or other grantee of rights from Tribute or any of its Affiliates or another Selling Person to develop, market or sell the Product or any Affiliates of the foregoing.

Selling Person has the meaning set forth in the definition of Net Sales.

Selling Person means the Purchaser, each of its Affiliates and each (A) licensee, sub-licensee, assignee or other grantee of rights from Purchaser or any of its Affiliates or another Selling Person to market or sell Zuplenz, (B) buyer, transferee or assignee of any Transferred Intellectual Property or Licensed Intellectual Property from Purchaser or its Affiliates or another Selling Person, or (C) any Affiliate of the foregoing.

• Discussion: As part of the project, WE Energies needs to extend electricity to the lift station that will be located north of the Hwy 10/114 split.

• If any change occurs in the representation and warranty set forth in Section 4.1(c) prior to the Closing Date, Management Sellers shall inform the Buyer in writing on or prior to the Closing Date, so that such representation and warranty speaks as of the Closing Date and the applicable Selling Persons, if any, shall execute and deliver to Buyer and Sellers’ Representative revised signature pages reflecting the applicable Selling Person and/or Pro Rata Share.

• The execution and delivery of this Agreement and the Transaction Documents by each such party, and the consummation of the transactions contemplated hereby and thereby, have been duly authorized by all necessary action on the part of each Selling Person.

• In the event that the Sellers’ Representative Reserve is insufficient to pay such fees, costs and expenses, each Selling Person agrees to promptly pay its Pro Rata Share of such amounts in the manner specified in a written notice from Sellers’ Representative.

• Following the payments described in Sections 3.5(a)(i) through 3.5(a)(vii), the net proceeds of the Purchase Price shall be allocated among the Selling Persons in accordance with their respective proportionate ownership of the Ownership Interests as set forth on the signature page hereto or joinder agreement, as applicable, executed by such Selling Person (“Pro Rata Share”).

Selling Person means, with respect to a Product, Purchaser and its Affiliates and each licensee or sublicensee of rights to sell such Product.

Selling Person is defined in Section 1.78.1.

Selling Person means the Buyer, each of its Affiliates (including the Surviving Corporation) and each (A) licensee, sublicensee, assignee or other grantee of rights from Buyer or any of its Affiliates or another Selling Person to develop, market or sell a Lixivaptan Product, (B) buyer, transferee or assignee of any Company Intellectual Property or Third Party Intellectual Property (for the sake of clarity to avoid double-counting, other than, in each case, rights granted with respect to any Lixivaptan Patent Right pursuant to clause (A)), from Buyer or its Affiliates (including the Surviving Corporation) or another Selling Person, (C) a Lixivaptan Product Line Buyer, or (D) any Affiliate of the foregoing.

Selling Person means, with respect to a Product, any of (i) Purchaser, (ii) any Affiliate of Purchaser or (iii) any licensee or sublicensee of rights to sell such Product.
