Examples of Seller’s Warranties in a sentence
Except for the Seller’s representations and warranties set forth on the attached Seller’s Warranties and Representations Exhibit, if any, the Property shall be transferred on an “AS-IS” and “WHERE IS” basis, with all faults, and without representation of any kind, all of which Buyer acknowledges.
Seller will bear the costs and losses associated with: (a) any Recall Action which results from Seller’s negligence or willful misconduct; or (b) Goods that do not comply with Seller’s Warranties or HSY Specifications.
Each of the Seller’s Warranties is independent of the others and is not limited by reference to any other representation and warranty of the Seller.
If the Closing occurs, Seller’s Warranties will survive the Closing hereunder, for the benefit of the Purchaser for a period ending at 5:00 p.m. New York time on the date that is nine (9) months after the Closing Date (the “Warranty Expiration Date”).
Any amounts recovered by Purchaser from any Title Policies shall offset any damages to which Purchaser may be entitled as a result of a breach of any applicable Seller’s Warranties, subject to the provisions of this Section 3.2 and Section 10.17 of this Agreement.
