Seller’s Warranties definition

Seller’s Warranties means the warranties given by the Seller pursuant to Clause 9 and Schedule 9, and “Seller’s Warranty” means any one of them;

Seller’s Warranties means Seller’s representations and warranties set forth in Section 9.2 and the Closing Documents executed by Seller, as such representations and warranties may be deemed modified or waived by Buyer pursuant to the terms of this Agreement.

Examples of Seller’s Warranties in a sentence

• Except for the Seller’s representations and warranties set forth on the attached Seller’s Warranties and Representations Exhibit, if any, the Property shall be transferred on an “AS-IS” and “WHERE IS” basis, with all faults, and without representation of any kind, all of which Buyer acknowledges.

• Seller will bear the costs and losses associated with: (a) any Recall Action which results from Seller’s negligence or willful misconduct; or (b) Goods that do not comply with Seller’s Warranties or HSY Specifications.

• Each of the Seller’s Warranties is independent of the others and is not limited by reference to any other representation and warranty of the Seller.

• If the Closing occurs, Seller’s Warranties will survive the Closing hereunder, for the benefit of the Purchaser for a period ending at 5:00 p.m. New York time on the date that is nine (9) months after the Closing Date (the “Warranty Expiration Date”).

• Any amounts recovered by Purchaser from any Title Policies shall offset any damages to which Purchaser may be entitled as a result of a breach of any applicable Seller’s Warranties, subject to the provisions of this Section 3.2 and Section 10.17 of this Agreement.

More Definitions of Seller’s Warranties

Seller’s Warranties shall have the meaning assigned to such term in Section 4.2.

Seller’s Warranties means the warranties and representations given by the Seller pursuant to Clause 9.1 and Schedule 3 and “Seller’s Warranty” means any one of them;

Seller’s Warranties means Seller’s representations and warranties set forth in Section 9.2 of this Agreement and the “limited” warranty set forth in the deed from Seller to Assignee and the Closing Documents executed by Seller (namely, only the reaffirmation at Closing of the Seller’s representations and warranties set forth in Section 9.2 of this Agreement, as set forth in the Closing Statement), as such representations and warranties may be deemed modified or waived by Buyer pursuant to the terms of the Sale Agreement.

Seller’s Warranties means, collectively, Seller’s representations and warranties set forth in Section 7.2.
