This Agreement has been, and the Sellers' Documents will be, duly executed and delivered on behalf of Sellers by duly authorized officers or agents of Sellers, and this Agreement constitutes, and the Sellers' Documents when executed and delivered will constitute, the legal, valid and binding obligations of Sellers and Shareholders, enforceable against Sellers and Shareholders in accordance with their respective terms.
The representations, warranties, covenants and agreements of Sellers and Shareholders contained in this Agreement or in any of Sellers' Documents shall have been true and correct on the date hereof, without regard to any Schedule amendments or updates furnished by Sellers after the date hereof, and shall be true and correct at the Closing with the same effect as though such representations, warranties, covenants and agreements were made as of the Closing.
The Seller's Documents for Review enumerated in Exhibit "A" attached hereto and made a part hereof are true, authentic, and correct copies of the originals, or as appropriate the originals themselves, and no alterations and modifications thereof have been made.

More Definitions of Seller’s Documents

Seller’s Documents shall have the meaning given such term in Section 5.2.

Seller’s Documents means this Agreement and any other agreements, notes, certificates, exhibits, schedules and documents executed or delivered or to be executed or delivered by Seller in connection herewith.

Seller’s Documents has the meaning set forth in Section 5.1.2 of this Agreement.

Seller’s Documents as such term is defined in Section 7(a)(i)(B) hereof.

Seller’s Documents means collectively this Agreement, the Joint Venture Agreement and the Sellers Agreement.
