Seller Software definition

Seller Software means any software (including firmware and other software embedded in hardware devices) owned, developed (or currently being developed), used, marketed, distributed, licensed or sold by the Seller at any time (other than non-customized third-party software licensed to the Seller for internal use on a non-exclusive basis).
Seller Software has the meaning specified in Section 3.15(e).
Seller Software means Software owned by or developed by or for Seller for use in or in connection with the Business.

Examples of Seller Software in a sentence

  • Buyer is not authorized to keep any copy of any Seller Software after it is shipped to the end user with a Product.

  • This Software license is effective as of the date of first delivery hereunder and shall continue until terminated by Buyer for any reason whatsoever upon thirty (30) days prior written notice to Seller, provided Buyer ceases using and either returns or destroys Seller Software and documentation; or by Seller, if Buyer does not comply with any of the Terms of this Software license and Buyer fails to remedy such failure within thirty (30) days after having received notice from Seller of such failure.

  • Seller Software licenses, as identified in the pertinent Solution Summary, may be found in the Statement of Work corresponding to such Solution Summary.

  • To the extent a Product is or includes software proprietary to Seller (“Seller Software”) or is hardware in which proprietary software is embedded (“Seller Firmware”), Buyer acknowledges and agrees that Seller Software and Seller Firmware (collectively, “Licensed Program”), constitute valuable trade secrets and Confidential Information of Seller.

  • Other than the Seller Marks and the Seller Software, none of the Selling Entities or any Subsidiary of the Selling Entities (other than the Transferred Entities) owns, licenses or sublicenses to any Transferred Entity any Intellectual Property that is used in and material, individually or in the aggregate, to the conduct of the Business by the Transferred Entities.


More Definitions of Seller Software

Seller Software means all Software which is not Third-Party Software.
Seller Software means that software (in source and object code form): (i) in which the Copyright is owned or exclusively licensed by Seller or a Purchased Subsidiary, (ii) which is used primarily in, and necessary to, the operation of the Business, and (ii) which, if material, is listed on Schedule 1.1(b). Seller Software includes Seller Products.
Seller Software means all Software owned by or licensed to Seller or any of its Affiliates other than any such Software that is: (a) owned by or licensed exclusively to any of the Transferred Entities; (b) licensed to any of the Transferred Entities and used primarily in the Business (as opposed to by Seller and its Affiliates (other than the Transferred Entities), but excluding any such Software that any Transferred Entity does not directly license but has the right to use or may be deemed to have licensed as consequence of such Transferred Entity being a Subsidiary of Seller or any of its Affiliates (other than any Transferred Entity); or (c) used exclusively in the Business by the Transferred Entities.
Seller Software is defined in Section 1.1(f).
Seller Software means all software material to the operation of the Business.
Seller Software means the Owned Software --------------- and the Customer Software.
Seller Software has the meaning set forth in Section 4.13(m).
