Seller Receivables definition

Seller Receivables shall have the meaning provided in Section 2.1(a).
Seller Receivables means all accounts receivable of the Sellers (excluding any CIP Unbilled Accounts Receivable) and other debts owing to the Sellers, in each case under any Seller Contract, which remain unpaid as of Closing, together with any interest accrued thereon.
Seller Receivables means all rents, fees, and other invoiced charges with respect to the CLP Managed Properties belonging to any Seller; and any other receivables of Sellers with respect to the CLP Managed Properties which, as of the Closing Date, have been invoiced but not paid, provided, however, in no event shall Seller Receivables include any amounts owed under the Affiliate Leases or any other amounts owed by another Seller or an affiliate of Seller.

  • In case there is any doubt about the validity of the assignment of the Seller Receivables including all Ancillary Rights and this requires any further declaration or action by you, you will execute such declaration or action upon request of eBay Sarl.

Seller Receivables shall have the meaning given it in Section 6.4 hereof.
Seller Receivables means (i) the indebtedness owed to any Originator by any Obligor (without giving effect to any purchase under the Purchase and Sale Agreement by The Wackenhut Corporation and any purchase under the Receivables Purchase Agreement by Wackenhut Funding Corporation, in each case, at any time) under a Contract and sold by any such Originator to The Wackenhut Corporation pursuant to the Purchase and Sale Agreement, and (ii) the indebtedness owed to The Wackenhut Corporation by any Obligor (without giving effect to any 108 purchase under the Receivables Purchase Agreement by Wackenhut Funding Corporation, at any time) under a Contract, in each case, and sold by The Wackenhut Corporation to Wackenhut Funding Corporation pursuant to the Receivables Purchase Agreement, in each case whether constituting an account, chattel paper, instrument, investment property or general intangible, arising in connection with the sale or lease of merchandise or the rendering of Services by any Originator or the Wackenhut Corporation, and includes the right to payment of any interest or Finance Charges and other obligations of such Obligor with respect thereto.
Seller Receivables has the meaning set forth in ss.5(j)(i) below.
Seller Receivables means the Contracts listed on Schedule A attached hereto (which Schedule may be in the form of microfiche or a disk).
Seller Receivables means all trade accounts receivable, other rights to payment from customers, and notes receivable of Seller, and the full benefit of all security for all of the foregoing, and all claims, remedies and other rights related to all of the foregoing.
