Seller: Principals of seller corporation: NOTE: Most lenders will allow acquisition costs as part of the Total Development Cost only to the extent that such costs do not exceed the lower of:(a) the last arm’s-length transaction plus reasonable carrying and/or maintenance costs; or(b) the estimated current market value of the property.
Seller and Seller Principals have no liability for any brokers’ or finders’ fees or any similar fees in connection with the Transaction, and Seller and Seller Principals have not retained any broker or other intermediary to act on their behalf in connection with the Transaction.

The fees and expenses of the Oak Hill Entities in connection with this Agreement and the Related Agreements and the transactions contemplated hereby and by the Related Agreements shall be borne solely by the Seller Principals or the Oak Hill Sellers.
