Sell-Off Period definition

Sell-Off Period has the meaning set forth in Section 13.5.
Sell-Off Period shall have the meaning set forth in Section 12.3.

  • Upon termination of this Agreement for whatever reason, except as a result of a breach by the Distributor of the Supplier’s Intellectual Property or as a result of Clause 14.5(h), any Products not purchased by the Supplier may continue to be sold by the Distributor in accordance with the terms of this Agreement for a maximum duration of the Sell-off Period (as the case may be).


More Definitions of Sell-Off Period

Sell-Off Period has the meaning set out in Section 6.5.
Sell-Off Period means the period beginning on the date of termination or expiry and ending on the date that is the earlier of:
Sell-Off Period for a product of the Business in a particular jurisdiction means (a) if there is a Registration Transition Period with respect to such product, the twelve (12) month period directly following the end of such Registration Transition Period, or (b) if there is no Registration Transition Period with respect to such product, the twelve (12) month period following the Closing Date.
Sell-Off Period means a period of ninety (90) days after the date of expiration or termination of this Agreement.
Sell-Off Period means the period from the Closing Date until the later of (i) the date at which Purchaser has sold all of the Inventory that consists of LEUKINE and (ii) the date which is three months after the date the FDA has approved Purchaser’s new packaging, displays, signs, promotional materials, manuals and forms for use in the packaging, marketing, promoting, advertising and selling of LEUKINE.
Sell-Off Period has the meaning set forth in Section 12.4(g) (Inventory).
Sell-Off Period has the meaning given to it in SECTION 12.4(C).
