Security Deposit Amount shall have the meaning ascribed to it in Clause 3.7.1.
Security Deposit Amount means and refer to the sum of the Initial Estimated Annual Additional Rent plus the Annual Fixed Rent Rate, as the same may be adjusted in accordance with Section 2.3, Section 4.1(b) and Section 10.12 hereof. The letter of credit shall be payable to Landlord upon presentation at the issuing bank's offices in Boston of a sight draft signed by Landlord stating that Landlord is entitled thereto, and a certification of Landlord that the person signing the certification is duly authorized to do so, that an uncured default exists under the Lease, that the default has continued after the expiration of any applicable cure period, and that the amount of the draft does not exceed the amount reasonably required to cure such default (the "Default Certification"). Landlord agrees that it shall present such sight draft and Default Certification only if Tenant defaults in performance of its obligations hereunder and such default shall have continued past any applicable notice and grace period. Any letter of credit in effect during the last year of the Term shall expire no earlier than 30 days after the expiration of the Term of the Lease. The letter of credit shall provide for partial draws and shall be assignable by Landlord.
