The Performance Guarantor does not guarantee the collectability of the receivables or any obligations of the Securitization Issuer as borrower under the Securitization Facility.
As security for all monies, liabilities, indebtedness and other obligations which are or may from time to time become due, owing or payable by the Securitization Issuer under the Securitization Notes and the related agreements relating to the Securitization Facility, the Securitization Issuer has granted security (including fixed charges, floating charges, and assignments) over substantially all of its assets and property to the security trustee to hold for itself and on trust for the secured parties.
Whilst each sale of Securitized Assets is made without recourse to the relevant Seller, each Seller remains liable to the Securitization Issuer for all representations, covenants, deemed collection/repurchase obligations and indemnities made or entered into by it.
