Securitization Documents definition

Securitization Documents means all documentation relating to any Permitted Securitization.
Securitization Documents means any note purchase agreement (and any notes issued thereunder), transfer or security document, master trust or other trust agreement, servicing agreement, indenture, pooling agreement, contribution or sale agreement or other document, instruments and certificates executed and delivered, subject to the terms of this Agreement, to evidence or secure (or otherwise relating to) a Permitted Securitization, as the same may be amended from time to time (subject to the terms hereof) and any and all other documents executed in connection therewith or replacement or renewal thereof.
Securitization Documents have the meaning set forth in Section 2.6(a)(v).

Examples of Securitization Documents in a sentence

  • Each of Company and its applicable Subsidiaries and, to the knowledge of Company, each other party thereto has performed in all material respects the obligations to be performed by it under each of the Company Securitization Documents, including any required filing of any financing statements, continuation statements or amendments under the Uniform Commercial Code of each applicable jurisdiction with the appropriate filing offices.

  • All Company Securitization Documents required to be qualified under the Trust Indenture Act of 1939, as amended, have been so qualified and no Company Securitization Trust is required to be registered under the 1940 Act.

  • No event or condition exists which constitutes a Servicer Default or other similar event permitting the termination of the servicer under any of the Company Securitization Documents (a “ Servicer Default or Termination”).

  • The Securitization Facility initially had a scheduled termination date falling in April 2019, however, the Securitization Documents contemplate that such date may be extended by agreement between the parties thereto.

  • On the Effective Date, the Debtor and/or Reorganized Debtor, as applicable, shall be deemed to have assumed the Securitization Documents to which it is a party to enable the transactions contemplated by the Securitization Documents to continue on terms currently contemplated in the Securitization Documents, in accordance with the Restructuring Support Agreements.


More Definitions of Securitization Documents

Securitization Documents means the Securitization Indenture, the Enhancement Agreements, the Management Agreement, each other Related Document (as defined in Appendix A to the Securitization Indenture) and each other agreement, document or instrument executed in connection with the Securitization Indenture.
Securitization Documents means the Receivables Purchase Agreement, the Pooling and Servicing Agreement and each other document designated as such on Schedule 1.1(h).
Securitization Documents means, collectively, the RPA and the TAA and any ------------------------ other agreements or documents executed or delivered by any Person in connection therewith.
Securitization Documents means, collectively, the CC Holdings Notes Indenture Documents, the Global Signal Notes Indenture Documents, the Tower Notes Indenture Documents and any other Transaction Documents (as such term or any analogous term is defined in the applicable Securitization Indenture) entered into in connection with any Securitization Indenture described in clause (b) or (c) of the definition thereof.
Securitization Documents means, collectively, with respect to any Permitted Securitization Transaction, the definitive documentation for such Permitted Securitization Transaction, including any agreement entered into by any Special Purpose Subsidiary created in connection with the establishment of such Permitted Securitization Transaction.
