Securities Holder definition

Securities Holder means the registered holder of any Securities in the Company;
Securities Holder or "Securities Holders" shall mean the Initial Securities Holder, the Other Holders and any transferee thereof to whom the rights and obligations of a Securities Holder are transferred pursuant to subsection 6.8.
Securities Holder means individually or collectively, as applicable: (i) the entity defined as such in the recitals; (ii) upon the death of any individual Securities Holder, the executor of such Securities Holder or such Securities Holder’s heirs, devisees, legatees or assigns; or (iii) upon the disability of any Securities Holder, any guardian or conservator of such Securities Holder.

Examples of Securities Holder in a sentence

  • The Company shall respond to the Class A Convertible Securities Holder within five (5) Business Days of receipt, or deemed receipt, of the dispute notice with a written calculation of the Conversion Ratio, 40% Threshold, or the FPI Protective Restriction, as applicable.

  • The Insurer will pay Investigative Costs on behalf of the Company that the Company has incurred as a result of a Securities Holder Derivative Demand first made during the Policy Period or Discovery Period, if applicable.

  • The Company, at the Company’s expense, shall cause the accountant to perform the determinations or calculations and notify the Company and the Class A Convertible Securities Holder of the results no later than five (5) Business Days from the time it receives the disputed determinations or calculations.
