Section 1031 Counterparty definition

Section 1031 Counterparty means an entity that is not an Affiliate of the Borrower and that will serve as an exchange accommodation titleholder in connection with the Section 1031 Exchange.
Section 1031 Counterparty means a Section 1031 EAT Counterparty, a Section 1031 QI Counterparty, or any other Person that is a counterparty to a Forward 1031 Exchange under part (a) of the definition thereof, as applicable.

  • After giving effect to any transfer of cash or other property by the Borrower or any of its Restricted Subsidiaries to a Section 1031 Counterparty, the Borrower shall satisfy the Availability Test.
