Secondary Option definition

Secondary Option means the sole and exclusive right and option to acquire an undivided 9% legal and beneficial right, title and interest in and to the Claims, in addition to the interest which may be acquired pursuant and subject to the exercise of the Option,
Secondary Option shall have the meaning set forth in the preambles to this Agreement.
Secondary Option means any Company Stock Option the exercise price of which equals or exceeds the Option Per Share Consideration.

More Definitions of Secondary Option

Secondary Option means an option exercisable by each Partner (other than the Partner who holds the Limited Partner Units that are subject to such option) to purchase all of the Limited Partner Units that were subject to a Primary Option that was not exercised; provided, however, that if Partners exercise their Secondary Options to purchase, in the aggregate, more than all of such Units, each Partner who has exercised his Secondary Option shall have the right to purchase a Proportionate Share of such Units and if any such Partner exercises his Secondary Option to purchase less than a Proportionate share of such Units, the remaining Partners who have exercised their Secondary Options shall have the right to purchase the Limited Partner Units that such Partner elected not to purchase, in proportion to the number of all Units held by each of them or as such Partners otherwise agree. A Secondary Option may be exercised only by giving written notice to the Unit Holder whose Limited Partner Units are subject to such option within ninety (90) days after receipt of the Sale Notice in the case of a sale under Paragraph 6.3 hereof, or receipt of the Transfer Notice in the case of a Transfer under Paragraph 6.4 hereof.
Secondary Option means the option to purchase a number of shares of Common Stock equal to the Number of Secondary Option Shares for the price per share equal to the applicable Secondary Option Exercise Price in effect at the time of any exercise of such option, subject in all respects to the terms and conditions of this Agreement, the grant to the Holder of which is made by this Agreement.

Related to Secondary Option

  • 3(i) Option means an Option granted pursuant to Section 3(i) of the Ordinance to any person who is Non- Employee.

  • Noncompensatory Option has the meaning set forth in Treasury Regulation Section 1.721-2(f).

  • Stock Reload Option means any option granted under Section 6.3, below, as a result of the payment of the exercise price of a Stock Option and/or the withholding tax related thereto in the form of Stock owned by the Holder or the withholding of Stock by the Company.

  • Nonstatutory Option means a stock option not described in Sections 422(b) or 423(b) of the Code.

  • Put Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and tender of the specified underlying Securities, to sell such Securities to the writer thereof for the exercise price.

  • Call Option means an exchange traded option with respect to Securities other than Stock Index Options, Futures Contracts, and Futures Contract Options entitling the holder, upon timely exercise and payment of the exercise price, as specified therein, to purchase from the writer thereof the specified underlying Securities.

  • Director Option means an Option granted pursuant to Section 6.

  • Aggregate Option Exercise Price means an amount equal to the aggregate dollar amount of the exercise price on all Company Options outstanding immediately prior to the Effective Time.

  • Call Option Period has the meaning given to it in Condition 6.04 (Call Option);

  • Shoe Option means the Initial Purchasers’ option to purchase up to seventy five million dollars ($75,000,000) aggregate principal amount of additional Notes as provided for in the Purchase Agreement.

  • Reload Option means any Option granted under Section 6(a)(iv) of the Plan.

  • Warrant Exercise Price means $0.01 per share.

  • Substitute Option means an Option granted in substitution for, or upon the conversion of, an option granted by another entity to purchase equity securities in the granting entity.

  • Non-Statutory Option means an option not intended to satisfy the requirements of Code Section 422.

  • Net Exercise means a Net Exercise as defined in Section 6.3(b)(iii).

  • Parent Option means an option to purchase shares of Parent Common Stock.

  • Incentive Share Option means an Option that is intended to meet the requirements of Section 422 of the Code or any successor provision thereto.

  • Vested Option means any Option, which has already been vested according to the Vesting Dates.

  • Option Exercise Price means the price at which a share of Common Stock may be purchased upon the exercise of an Option.

  • Warrant Exercise Period shall commence (subject to Section 6(d) below), on the later of:

  • Option Warrants shall have the meaning ascribed to such term in Section 2.2(a).

  • Over-Allotment Option means the option of the Underwriters to purchase up to an additional 15 per cent of the firm units (as described in the Articles) issued in the IPO at a price equal to US$10 per unit, less underwriting discounts and commissions.

  • Call Option Notice means a written notice from the holder of the Call Option or the Administrator, as applicable, stating its desire to exercise the Call Option on the related Reset Date, delivered to each Clearing Agency, the Indenture Trustee, the Remarketing Agents, the Rating Agencies and, if the related class of Reset Rate Notes is then listed on the Luxembourg Stock Exchange, the Administrator will forward a copy to the Luxembourg Listing Agent (the contents of which are to be published in a leading newspaper having general circulation in Luxembourg).
